Overview

A partner organization is seeking a Senior Legal Counsel - Corporate based in Ireland. This role involves providing expert legal guidance to support strategic business growth, focusing on corporate governance, transactions, and international corporate structuring. The position offers exposure to a broad range of corporate activities including fundraising, mergers and acquisitions, investments, and global entity management within a dynamic, international, and remote-first environment.

Responsibilities

  • Lead and support corporate transactions such as fundraising, mergers and acquisitions, investments, and other strategic initiatives.
  • Draft, review, negotiate, and manage transaction documentation, investment agreements, and related corporate legal instruments.
  • Conduct and coordinate legal due diligence processes to ensure compliance and risk mitigation.
  • Oversee corporate governance and company secretarial matters for multiple international entities, ensuring compliance with local regulations.
  • Manage employee equity and stock option plans, including legal documentation, administration, and regulatory compliance.
  • Support international corporate structuring initiatives, including the creation and management of new legal entities.
  • Provide practical and strategic corporate legal advice to founders, executives, and internal stakeholders on a wide range of business matters.
  • Collaborate with finance teams, external legal counsel, and other business functions to support organizational objectives.
  • Contribute to legal operations, process improvements, and additional business law matters as required.

Requirements

  • Master's degree in Business Law or a related legal discipline; additional qualifications such as an LLM, business school degree, or political science background are advantageous.
  • Qualified to practice law in France (CAPA required).
  • 4 to 6 years of post-graduation professional experience specializing in corporate law.
  • Strong experience supporting corporate transactions including investments, financing rounds, mergers and acquisitions, and corporate governance.
  • Excellent drafting, negotiation, and legal analysis skills with strong attention to detail.
  • Ability to work independently while managing multiple priorities in a fast-paced environment.
  • Full professional proficiency in both French and English, written and spoken.
  • Strong communication and stakeholder management skills, capable of explaining complex legal concepts clearly and pragmatically.
  • Experience advising startups, scale-ups, or high-growth technology businesses is highly desirable.
  • Exposure to additional areas of business law is a plus.
  • Proactive, solution-oriented mindset with the ability to balance legal risk and commercial objectives.
  • Adaptable and comfortable working within evolving business environments and processes.
