Overview

This role provides a variety of general corporate, regulatory, and commercial legal services to the organization and its in-house clients. Legal support may also extend to one or more specific market segments and/or products. The Senior Legal Counsel acts as a senior advisor on complex legal issues affecting multiple segments and products, advises on contract and compliance matters, and may guide junior staff.

Responsibilities

  • Independently review, draft, and negotiate contracts and other legal documentation with customers, suppliers, and other parties, including:
    • Agreements for participation in the organization’s networks for health information messaging and connectivity
    • Data use agreements
    • Technology licensing agreements
    • Joint research projects
    • Vendor contracts for services or equipment supplied to the organization
  • Manage complex projects on behalf of business groups, as assigned.
  • Participate in the ideation phase of new products or product variations/improvements; analyze and advise on products/services in conceptual and development phases and/or requiring contracts, ensuring compliance with applicable state and federal laws.
  • Draft, maintain, and update contract templates for frequent and infrequent transaction types.
  • Ensure relevant facts and legal considerations are assembled, assessed, and accurate before contracts are presented for execution.
  • Evaluate and advise on appropriate legal courses of action to meet company and business needs.
  • Review marketing materials for assigned products.
  • Assist with internal and external federal, state, and industry compliance activities.

Qualifications

Basic Requirements

  • Juris Doctor Degree from an ABA-accredited law school and good standing member of at least one state bar
  • 8+ years of experience as a practicing attorney at a law firm or in-house, including drafting business contracts and negotiating them to successful conclusion
    • Additional years of relevant experience in a non-attorney role in the healthcare or technology industry may be considered in satisfying this requirement
  • 5+ years of experience engaging with those responsible for business development on both sides of the contract/transaction
  • 5+ years of experience drafting and negotiating contracts related to data rights/license agreements and other intellectual property
  • Demonstrated experience in corporate matters of diverse scope, requiring in-depth evaluation and interpretation
  • Ability to work with a high degree of autonomy, demonstrating significant subject matter experience and excellent communication skills

Preferred Qualifications

  • 3+ years of experience providing legal services to companies in the healthcare industry
  • Specialist knowledge of privacy and data security matters in the healthcare sector

Compensation & Benefits

  • Base pay range: $181,600 - $222,000 per year
    • Base pay may vary within or outside of this range based on qualifications, skills, experience, and location.

Work Arrangement

  • Flexible Hybrid Work model for most positions: employees may work virtually while using offices as collaboration centers. With alignment and agreement from leadership, employees can come and go from the office as needed.

Physical & Mental Requirements

  • May be required to attend meetings in and out of the office, travel, communicate effectively (orally and in writing), and use computers and other electronic and standard office equipment with or without a reasonable accommodation.
