Overview
This role involves providing senior legal counsel with a focus on transactional matters within the software industry. The position requires 5-7+ years of experience drafting and negotiating vendor agreements, SaaS contracts, software license agreements, and related documentation. Exposure to computer science or intellectual property licensing is preferred.
Responsibilities
- Draft, review, negotiate, and finalize a variety of agreements including vendor contracts, customer order contracts, SaaS and alliance agreements, software development agreements, statements of work (SOWs), non-disclosure agreements (NDAs), and licensing documentation for engineering teams.
- Provide legal support for global HR operations, ensuring compliance with regulations such as GDPR, the EU AI Act, and the Cyber Resiliency Act.
- Assist with office-related and customer compliance matters, including adherence to employee policies, internal HR regulations, auditing reimbursements, facilities management, and terminations.
- Consult with internal clients to develop business and legal terms, and provide training and guidance on relevant laws and obligations.
- Advise on EU, state, and federal regulations applicable to the business.
- Support continuous improvement of contract templates and the overall contracting process.
Requirements
- Fully licensed attorney in a US state.
- 5-7+ years of transactional legal experience in the software industry.
- Experience in dispute resolution and mediation.
- Proven ability to negotiate a variety of contracts, including those related to EU regulations such as DORA addenda.
- Strong drafting skills for privacy-related agreements and documents, including Data Processing Agreements (DPAs) and Transfer Impact Assessments.
- Experience with marketing vendor contracts, including trade show and lead generation agreements.
- Strong organizational skills and ability to manage multiple tasks simultaneously.
