Overview
An experienced attorney is sought to focus on drafting, redlining, and negotiating large Engineering, Procurement, and Construction (EPC) agreements and related exhibits. The role requires strong drafting, negotiation, and communication skills, with the ability to work proactively in a fast-paced environment.
Responsibilities
- Review, modify, create, and negotiate EPC agreements, including portions related to Owner Supplied Equipment/Owner Scope, balancing risk appropriately.
- Assist with negotiating and redlining engineered equipment contracts, furnish and install subcontracts, and materials/consumables purchase orders as needed.
- Prepare and negotiate/redline demands, settlements, and other documents related to ongoing claims, disputes, and change orders for EPC projects.
- Stay informed about current legislation and court rulings relevant to legal specialties.
- Understand general insurance concepts such as waiver of subrogation, builder’s risk insurance, professional liability coverage/exclusions, self-insured retentions, insurance layers, and coverage types.
- Apply knowledge of common EPC energy industry issues including limit of liability clauses, waivers of consequential damages, indemnities, Owner Furnished Equipment, and warranties.
- Provide legal advice on construction law and related areas including contract disputes, delay claims, payment issues, construction defects, damages, liens, injuries, litigation, and insurance matters.
- Support operations in disputes involving third parties, owners, vendors, subcontractors, and consultants.
- Assist project teams in pursuing insurance coverage for construction defect, builder’s risk, pollution, design, auto, worker’s compensation, and property damage claims in coordination with Risk Management.
- Select and manage outside counsel for litigation matters, including document requests, discovery responses, and reviewing motions, briefs, and memoranda.
- Assist in preparation for and attend alternative dispute resolution proceedings.
- Provide legal counsel to internal clients by analyzing situations, defining needs, and determining legal strategies for claims, injuries, human resources issues, and more.
- Offer general legal advice to company employees as needed.
Requirements
- Juris Doctor degree from an American Bar Association accredited law school.
- 7 to 12 or more years of relevant legal experience.
- Admission to the bar in the practicing state.
- Commitment to compliance with local, state, and federal laws and ethical conduct.
- Ability to work independently or collaboratively with a team of attorneys to develop legal strategies.
- Strong critical thinking, interpersonal, and public speaking skills.
- Effective negotiation, research, and verbal and written communication skills.
- Adaptability and attention to detail.
Preferred Qualifications
- Undergraduate degree or coursework in construction management, engineering, or related fields such as finance, management, procurement, or supply chain.
