Overview
A leading global AI cloud infrastructure organization is seeking a Senior Legal Counsel to join their legal team supporting expanding operations across EMEA. This role involves working closely with business development teams on global investment and M&A transactions, as well as handling other international legal matters to support fast global growth.
Responsibilities
- Draft, review, advise on, and negotiate asset purchase agreements, investment transactions, and mergers and acquisitions
- Draft, review, advise on, and negotiate SaaS, PaaS, and IaaS/HaaS agreements
- Manage a broad range of commercial agreements including drafting, reviewing, advising, and negotiating
- Handle labor-related legal matters independently or with external counsel support
- Coordinate and manage external counsel to ensure cost-effective, high-quality legal support
- Monitor regulatory developments affecting company activities
- Collaborate with cross-functional teams to optimize processes and risk management
- Maintain a hands-on, diligent, and solution-oriented approach
Requirements
- Licensed to practice law in Israel and/or the US
- Approximately 7 years of relevant experience as a senior associate in a top-tier law firm or as in-house legal counsel
- Law degree from a top-tier university
- Proven experience with asset purchase agreements, M&A transactions, and investment transactions (particularly for lead investors)
- Experience supporting high-tech companies at various growth stages, including labor and corporate matters
- Expertise in technology agreements such as SaaS, PaaS, IaaS/HaaS, SLAs, and terms and conditions
- Strong understanding of commercial and corporate law
- Ability to work under short deadlines
- Excellent communication and contract negotiation skills in English
- Proactive, pragmatic, business-oriented, and able to work independently
- Knowledge of privacy and AI legislation and trends is a plus
