Overview
A legal counsel position is available to provide legal advice and manage contracts with customers, vendors, and business partners primarily within the UK and Nordic regions. The role supports M&A activities and the daily legal operations of an aviation portfolio. Reporting to the General Counsel, this position works closely with aviation portfolio management as a dedicated legal resource.
Responsibilities
- Draft, review, negotiate, and administer various contracts including software licenses, maintenance and support services, consulting agreements, subcontractor agreements, project-specific agreements, and NDAs.
- Review documents related to public and private tenders for compliance with company standards and policies.
- Develop and submit contract management policies, procedures, and processes for approval.
- Customize existing contract templates, create new templates, and negotiate terms with customers and suppliers.
- Build and maintain positive relationships with business partners.
- Assess and evaluate risks associated with new and existing contracts.
- Conduct research on multiple international jurisdictions and recommend best practices and improvements to contract processes.
- Assist with due diligence and other M&A activities, including drafting, reviewing, and negotiating mergers, share or asset purchase agreements, disclosure letters, letters of intent, NDAs, board resolutions, and related agreements.
- Manage post-close legal integration tasks.
- Assist in policy development and training as required.
- Perform administrative duties such as preparing board minutes and resolutions, regulatory filings, and company onboarding.
- Provide legal advice to relevant stakeholders as appropriate.
- Perform other duties as assigned.

Requirements
- Minimum of 8 years' experience in an international law firm or legal department.
- Qualified lawyer in the UK.
- Proficiency in English is mandatory; knowledge of additional languages such as Spanish, Danish, Swedish, or Italian is advantageous.
- Experience in telecommunications and/or software environments is considered an asset.
- Background or experience in public procurement.
- Resourceful and flexible, able to adapt quickly to an intense and changing work environment.
- Ability to interpret, draft, and negotiate agreements.
- Willingness to travel up to 10% of the time.
