Overview
This role involves providing senior legal counsel with 5-7+ years of transactional experience in the software industry. The position focuses on drafting and negotiating a variety of agreements including vendor order agreements, SaaS contracts, and software license contracts. Experience or exposure to computer science or intellectual property licensing is preferred. Strong organizational skills and the ability to manage multiple tasks simultaneously are essential.
Responsibilities
- Draft, review, negotiate, and finalize a wide range of agreements such as vendor agreements, customer order contracts, SaaS and alliance agreements, software development contracts, statements of work (SOWs), non-disclosure agreements (NDAs), and licensing documentation for engineering teams.
- Provide legal support for global HR operations, including compliance with regulations such as GDPR, EU AI Act, and Cyber Resiliency Act.
- Assist with office-related and customer compliance matters, ensuring adherence to employee policies, internal HR regulations, auditing reimbursements, facilities management, and terminations.
- Consult with internal clients to develop business and legal terms, and provide training and guidance on relevant laws and obligations.
- Advise on EU, state, and federal regulations applicable to the business.
- Support continuous improvement of contract templates and the contracting process.
Requirements
- Fully licensed attorney in a US state.
- Experience in dispute resolution and mediation.
- Proven ability to negotiate various contract types, including those related to EU regulations (e.g., DORA addenda).
- Excellent drafting skills for privacy-related agreements and documents such as Data Processing Agreements (DPAs) and Transfer Impact Assessments.
- Experience with marketing vendor contracts, including trade show agreements and lead generation agreements.
