Overview

A boutique business law firm specializing in sophisticated middle-market corporate and M&A transactions is seeking an experienced senior associate-level attorney for a flexible, contract-based role. The firm handles complex deals comparable to those at larger firms and offers an opportunity to work on meaningful transactions without the demands of a full-time position.

Responsibilities

  • Lead sell-side M&A transactions, typically ranging from $5 million to $150 million in deal value
  • Handle private equity transactions, primarily buy-side and portfolio company deals within the $5 million to $150 million range
  • Support general corporate and fractional general counsel matters related to M&A practice, including entity structuring, governance, commercial agreements, and routine labor and real estate issues
  • Draft and negotiate purchase agreements, ancillary documents, disclosure schedules, and other customary M&A agreements
  • Conduct diligence review and risk analysis
  • Determine when outside counsel support is necessary

Requirements

  • Prior experience at an AmLaw 100 firm with significant exposure to sophisticated M&A practice
  • Proven ability to independently manage deals, including drafting, negotiating, and coordinating workstreams without close supervision
  • Strong knowledge of middle-market M&A documentation and customary deal points
  • Active bar admission in any U.S. jurisdiction (state is flexible)
  • Excellent written and verbal communication skills with sound judgment on escalation and decision-making
  • Reliable availability of 5 to 25 hours per week, with flexibility to increase hours during deal-intensive periods

Preferred Qualifications

  • Experience with healthcare M&A transactions is a plus
