Overview
A partner organization is seeking a Senior M&A/Corporate Legal Counsel based in India to support complex global legal initiatives within a fast-growing technology and digital assets environment. This role focuses on corporate transactions, governance, reorganizations, and strategic legal advisory across multiple jurisdictions.
Responsibilities
- Develop and implement corporate legal strategies aligned with business objectives.
- Provide proactive, commercially focused legal advice to internal stakeholders on complex business matters.
- Lead and support corporate transactions including mergers and acquisitions, investments, joint ventures, and global restructuring initiatives.
- Draft, review, negotiate, and interpret legal agreements and corporate documentation, identifying risks and opportunities.
- Conduct comprehensive risk assessments and recommend solutions that protect business interests while enabling growth.
- Support corporate governance activities such as board matters, entity management, and internal organizational arrangements.
- Collaborate with cross-functional and regional teams to resolve legal issues across multiple jurisdictions.
- Manage external legal communications and negotiations with third parties as needed.
- Develop legal guidance, training materials, and awareness programs to enhance understanding of legal risks and compliance.
- Monitor legal developments and ensure regulatory changes are incorporated into business practices.
- Independently manage complex legal projects while working effectively with internal and external stakeholders.
Requirements
- Qualified to practice law in a recognized jurisdiction.
- Minimum 8 years of post-qualification experience in a leading law firm and/or in-house legal team at a well-established or high-growth organization.
- Strong expertise in corporate transactional work including M&A, investments, restructurings, and governance.
- Experience managing complex legal projects involving multiple jurisdictions and stakeholders.
- Excellent skills in legal drafting, negotiation, contract review, and interpretation.
- Solid understanding of corporate governance frameworks and business risk management.
- Ability to provide practical, business-oriented legal advice balancing legal requirements and commercial objectives.
- Strong analytical, problem-solving, and organizational skills with attention to detail.
- Comfortable working independently and collaboratively within a legal team.
- Ability to develop creative solutions to evolving business needs.
