Overview
This remote position offers an opportunity to provide administrative support to a legal department, delivering quality legal services to various company departments. The role involves performing complex and specialized tasks, collaborating within a team-oriented environment, and adhering to regulatory requirements and organizational policies.
Responsibilities
- Assist department attorneys with transactional and other agreements, including drafting related documents.
- Conduct due diligence searches related to acquisitions and unwinds; prepare appropriate UCC forms.
- Coordinate with Executive and Senior Management and internal departments for document production and information requests concerning transactions and corporate matters.
- Track the status of acquisitions and unwinds.
- Prepare and file formations for new entities and dissolutions across various jurisdictions.
- Obtain good standing certificates and other entity documents as requested.
- Draft written consents for various entities.
- Review invoices for accuracy.
- Maintain fictitious name database and manage application filings and renewals.
- Attend weekly transition meetings and provide department updates.
- Proofread documents, draft correspondence, review and respond to emails.
- Complete special projects as requested by department attorneys.
- Track matters through Xakia.
- Research statutes and regulations.
- Comply with all Federal and State laws and regulations related to patient care, patient rights, safety, billing, human resources, and collections.
- Adhere to all departmental and organizational policies, including IT policies and Disaster Recovery Plan.
- Maintain confidentiality of all patient and employee information.
- Keep work area and records organized.
- Ensure company equipment is safe and operational.
- Perform other duties and projects as assigned.
Requirements
- Paralegal certification or Bachelor's degree in a related field.
- Paralegal certification in the required state.
- Minimum of 7 years of corporate and/or healthcare law experience in a law firm or corporate legal department.
- In-depth knowledge of corporate transactional agreements, employment agreements, and other business agreements.
- Understanding of healthcare laws and healthcare transactions.
- Excellent writing, proofreading, and verbal communication skills.
- Ability to interact effectively with Executive and Senior Management.
- Strong planning, problem-solving, and analytical skills.
- Ability to manage multiple projects, competing priorities, and deadlines.
- Proficiency in MS Office Word, Excel, PowerPoint, and Outlook.
- Knowledge of NetDocuments is preferred.

Compensation & Benefits
- Pay range: $57,699.20 - $107,140.80 annually.
Location
- Remote position.
- Standard core workdays/hours: Monday to Friday, 8:00 AM – 5:00 PM.
- Occasional overtime and weekend shifts may be required based on operational needs.
- Travel: 0-25%.
