Overview
An experienced corporate and M&A lawyer is sought to join a Practical Law Corporate and M&A team based in the United States. This role involves creating and maintaining expert legal content and supporting the development of AI-powered legal solutions.
Responsibilities
- Research, write, and maintain clear, current, and practical legal content aligned with market practice and business objectives.
- Review and edit content produced by colleagues and external expert contributors.
- Stay updated on legal, practice, and market developments to ensure content accuracy and relevance.
- Support the development of AI-powered legal solutions using legal expertise.
- Assist in the development and application of internal AI editorial tools.
- Develop and maintain relationships with lawyers and industry groups to reflect current market practice in content.
- Collaborate with product management, sales, marketing, and technology teams as needed.
Requirements
- Juris Doctor degree with a current license to practice law in at least one US jurisdiction.
- Minimum of 8 years' experience as a corporate and M&A lawyer in a law firm or in-house, with a track record of leading complex M&A deals.
- Extensive experience in:
- Corporate law, including entity formation and governance, with in-depth knowledge of Delaware General Corporation Law, Delaware Limited Liability Company Act, Delaware Revised Uniform Limited Partnership Act, and Delaware case law.
- Mergers and acquisitions (public or private), including drafting and negotiating M&A agreements and advising boards and senior management.
- Experience representing private equity sponsors and portfolio companies, including structuring and negotiating LBOs, minority/majority investments, carve-outs, take-privates, add-ons, and related transactional and financing agreements is preferred.
- Strong writing skills with the ability to produce accurate, concise, and plain English legal content.
- Collaborative mindset with the ability to work independently and in teams.
- Strong technical skills and proficiency with various tools, including generative AI technologies.
- Adaptability to work on diverse projects within the generative AI and emerging technology space.
- Curiosity about the intersection of AI and legal practice and openness to change.
- Experience using AI tools in legal work.
Candidates advancing to a second interview will be required to complete a writing test.

- Experience representing private equity sponsors and portfolio companies in complex transactions.
Compensation & Benefits
- Base salary range: $119,700 USD - $222,300 USD, depending on knowledge, skills, experience, and internal equity.
