Overview
- Position Type: Senior Venture Capital & Emerging Companies Attorney, Full-Time
- Location: Fully Remote
- Experience Required: 5+ years in relevant subject matter
This role involves serving high-growth startups and modern businesses as a senior corporate attorney with deep experience in venture capital financings and emerging company work. The position offers the opportunity to work directly with founders, structure companies, and act as outside general counsel for a variety of businesses.
Responsibilities
- Lead venture financings including SAFEs, convertible notes, and preferred stock from term sheet to closing, including negotiation and investor counsel interactions
- Advise on startup structuring such as formations, founder equity splits, IP assignments, holding companies, and cap table planning
- Provide guidance on corporate governance and equity matters including restricted stock, option plans, 83(b) elections, and investor onboarding
- Serve as outside general counsel on day-to-day legal matters, board governance, employment questions, and commercial contracts, balancing legal risk with business strategy
- Stay adaptable and willing to learn new verticals and areas of law as client needs evolve
Requirements
- Juris Doctor (JD) from an accredited law school
- Minimum 5 years of corporate legal experience with significant focus on venture capital financings and emerging companies
- Training at a Big Law firm or elite boutique with substantial exposure to venture capital transactions (company-side or investor-side), emerging company work, and/or M&A
- Active attorney license in good standing
- Ability to confidently own matters and manage client relationships
- Comfortable working in the fast-paced environment of early-stage companies and fluent in the language of founders
- Willingness to advise across a broad range of legal matters and learn new areas as needed
- Business-first mindset: practical, fast-moving, and solution-oriented
Preferred Qualifications
- Experience with M&A, secondary sales, or complex capital events
- Familiarity with technology stack tools
- Interest in productizing legal services or experimenting with technology and AI-enabled delivery
