Overview
A Senior Commercial Attorney position is available within a Managed Services Contracts team in the US. This role involves close collaboration with a customer’s in-house legal department and internal business partners. The attorney will independently review, redline, and negotiate contracts, as well as participate in projects aimed at improving contractual infrastructure, workflow, and processes. Collaboration with other team members and the customer’s legal team is also required.
Note: Candidates must reside in the same state where they are barred to practice law.
Responsibilities
- Draft, review, redline, and negotiate various customer and third-party contracts and transactional documents.
- Review contracts against established standards and negotiate acceptable alternatives using provided templates and tools.
- Compare contracts to highlight differences and similarities in template formats.
- Facilitate escalation of unresolved issues, approvals, and signatures.
- Update or draft playbooks and contract templates as needed.
- Research and analyze commercial law areas relevant to the customer’s business and prospects; prepare position statements for different audiences.
- Quickly understand term positions and fallbacks in provided playbooks, learn to use Contract Lifecycle Management (CLM) tools, and adapt to new processes.
Experience
- 6-10 years of experience in commercial transactional support, including drafting, reviewing, and negotiating commercial contracts such as services and supply agreements, software license and SaaS agreements, procurement, and other inbound agreements.
- Experience conducting simple to complex legal research and drafting memoranda.
- Proven track record in client support and customer service engagements.
- Prior experience independently negotiating and finalizing Software License Agreements and SaaS Agreements.

Technical Skills
- Proficient in Microsoft Office applications, including PowerPoint, Word, and Excel.
- Experience using Contract Lifecycle Management (CLM) software.
Qualifications
- Juris Doctor (JD) degree required.
- Must be barred to practice law in the same state as residence.
Compensation & Benefits
- Salary range: $120,000 - $130,000 annually, based on skills, experience, level, and location.
