Overview
A leading omni-channel specialty retailer of menswear is seeking a Senior Director, Corporate Counsel to join their Corporate Legal team. This role involves providing legal counsel and support related to corporate and financing transactions, legal entity maintenance, corporate governance, and regulatory compliance. Key focus areas include global trade and customs, anti-bribery and ethics, consumer product safety, privacy, and intellectual property compliance.
Responsibilities
- Provide legal support on corporate finance and governance matters, collaborating with tax, treasury, accounting, finance, and internal audit teams
- Draft, review, and negotiate corporate and finance agreements, governance documents, term sheets, and corporate agreements, including debt and equity transactions
- Maintain corporate and legal entity structure, compliance, and governance
- Advise on best practices and compliance with corporate and global regulatory matters, focusing on public company regulations, executive compensation, and anti-bribery and ethics
- Assist in developing, maintaining, and enhancing processes, policies, procedures, and compliance training
- Partner with outside counsel as needed, managing time and costs effectively while supporting business goals
Requirements
- Juris Doctor (JD) from an accredited law school
- Membership in good standing with at least one U.S. State Bar
- 12+ years of in-house legal practice experience
- Expertise in corporate finance and corporate governance, including debt and equity transactions
- General compliance legal experience
- Ability to interact with and earn the respect and confidence of senior business leaders
- Excellent written, oral, and interpersonal communication skills
- Ability to provide timely and effective legal and business advice at all organizational levels
- Proven ability to manage a high volume of matters, prioritize competing assignments, and meet deadlines
- Business-oriented problem solver and flexible team player capable of partnering across departments
- Strong analytical skills to propose creative and practical solutions in complex or ambiguous situations

Work Environment and Physical Demands
- Ability to sit and work at a computer for extended periods
- Ability to stoop, kneel, bend, and reach daily
- Ability to lift and move up to 25 pounds occasionally
- Use of visual acuity, speech, hearing, hand-eye coordination, and manual dexterity to operate office equipment
- Typically 40 hours per week, with work performed from a hybrid office location near corporate offices in New York, Texas, or California, or remotely
Compensation and Benefits
- Starting salary range: $165,000 to $215,000, with potential to increase to $270,000 based on merit, tenure, and other factors
- Additional compensation includes a 25% Annual Incentive Plan (AIP) bonus and a 25% Long Term Incentive Plan bonus
