Overview
This role involves contract engagement work for attorneys with technology and commercial contracting experience. Assignments may be with leading corporate clients across a variety of industries and include drafting, negotiating, and reviewing a range of technology transaction and commercial contract matters.
Responsibilities
- Draft, negotiate, and review complex commercial contracts and technology agreements, including:
- Software and technology licensing
- Master services agreements
- Statements of work
- Supply and distribution arrangements
- Cloud technology, cloud hosting, and data colocation
- Domain-name ownership
- SaaS and XaaS
- Reseller agreements
- Professional services
- Manufacturing and development
- Non-disclosure agreements
- Handle commercial contracting and technology transaction work suitable for contract engagement staffing
Minimum Qualifications
- 4+ years of technology and commercial contracts experience
- Significant experience drafting, negotiating, and reviewing complex technology transaction agreements
- Prior experience at a large corporate law firm, a sophisticated boutique firm, or in-house with a major company is preferred
- Excellent academic credentials
- Licensed to practice law and in good standing in state of residence
- Outstanding references

Compensation & Benefits
- Pay: The annualized pay for this position ranges from $150,000 to $200,000 when calculated on a full-time basis.
- Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).
- Professional liability insurance coverage for work or acts or omissions provided within the scope of the engagement
