Overview
A remote contract opportunity is available for a Contract & Commercial Expert specializing in commercial and transactional law. This role involves developing and evaluating contracting scenarios to improve AI model performance.
Responsibilities
- Develop long-term contracting tasks with clear rubrics to assess agent performance against verifiable standards.
- Create drafting scenarios including Master Service Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), and Data Processing Agreements (DPAs) with required clauses and defined parameters.
- Design review and negotiation scenarios involving contract redlines that resolve to predefined fallback positions according to a playbook.
- Build post-signature work scenarios for obligation extraction and clause classification based on a defined taxonomy.
- Collaborate with AI research labs to ensure scenarios are challenging and require focused, extended sessions.
- Work independently and asynchronously to meet deadlines and contribute to AI model improvements.
Requirements
- Juris Doctor (JD) degree.
- Minimum of 3 years practicing commercial or transactional law, either in-house or at a law firm.
- Admission to the bar in at least one U.S. state or an equivalent foreign legal qualification.
- Expertise in SaaS commercial terms, data protection regulations (GDPR, CCPA, DPAs), intellectual property and licensing, indemnity and limitation-of-liability structures.
- Experience with Contract Lifecycle Management (CLM) tools such as Ironclad, Agiloft, LinkSquares, or DocuSign CLM.
- Proficiency with contract artifacts including redlines, playbook entries, abstraction summaries, and fallback positions.
- Strong written communication skills with the ability to articulate reasoning step-by-step and encode it into deterministic rubrics.
Compensation & Benefits
- Contract position paid hourly at $110–$150 per hour.
