Overview
An international technology company is seeking a Corporate Counsel with over 4 years of experience to join their expanding International Commercial Legal department. This mid-level attorney role is based in the United Kingdom and reports to the UK & Emerging Region Legal Director. The position involves managing legal matters related to public sector contracts within a fast-growing, globally distributed environment.
Responsibilities
- Manage the full legal lifecycle of Public Sector contracts, including Cloud/SaaS and Software Subscription agreements, Professional Services agreements, Data Processing Agreements, and associated schedules.
- Ensure compliance with UK GDPR and the Data Protection Act 2018.
- Support early-stage bid processes, framework call-off negotiations, contract execution, and ongoing contract management.
- Advise internal teams on regulatory and compliance obligations related to supplying cloud services to the Public Sector.
- Assist Sales and RFP teams during live procurement processes by reviewing ITT/RFP requirements, drafting legal responses, and advising on terms and conditions proposed by contracting authorities.
- Collaborate closely with the UK Legal Director, Security Controller, and wider Legal Department across USA, EMEA, and APJ regions, as well as finance and compliance stakeholders.
- Support EMEA and Global Legal teams on ad hoc projects as needed.
- Stay informed on relevant legal and regulatory developments and proactively advise the business on their implications.
- Help build and improve workflow processes between Legal and other departments to facilitate dealmaking and compliance initiatives, including leveraging AI tools and automation opportunities.
Requirements
- Qualified and legally permitted to practice law in the United Kingdom.
- Minimum of 4 years’ experience drafting and negotiating technology contracts, including Cloud/SaaS, Software Subscription agreements, Professional Services agreements, and Data Processing Agreements with Public Sector customers.
- Strong knowledge of public procurement law, public law principles, and contract law.
- Understanding of cyber and information security obligations in technology contracts, including requirements for Cyber Essentials / Cyber Essentials Plus certification, ISO 27001 compliance, and alignment with NCSC guidance.
- Experience and knowledge of relevant laws and legal systems in the United Kingdom, France, Australia, and Germany.
- Ability to balance legal risks with business strategy.
- Preferred experience managing technology contracts for public sector entities, either in-house or within government departments, local authorities, or regulated public sector organizations.
- Ability to work independently in a fast-paced environment, handling ambiguity and shifting priorities with flexibility and professionalism.
Preferred Qualifications
- Proven track record as a self-starter managing multiple projects and adapting advice based on shifting priorities, legal developments, and risk tolerance.
- Experience or strong working knowledge of complex software licensing, cloud business models, and related legal issues.
- Familiarity with data protection and privacy issues in technology transactions.
- Prior experience representing high-growth companies.
- Ability to collaborate effectively in a distributed team environment.
- Willingness to participate in limited travel.
- Excellent written and oral communication skills in English.
