Overview

A global human capital management organization is seeking an experienced and strategic senior legal leader to oversee key aspects of its global corporate legal function. This role is critical in ensuring compliance with corporate laws and regulations, managing cross-border mergers and acquisitions, overseeing domestic and international corporate governance, and maintaining corporate legal compliance. The position reports to the EVP, Chief Legal and Compliance Officer, and Corporate Secretary.

Responsibilities

  • Lead and manage the global corporate legal team.
  • Ensure compliance with corporate laws and regulations across global operations.
  • Oversee and manage cross-border mergers, acquisitions, and dispositions.
  • Provide guidance on domestic and international corporate governance.
  • Ensure corporate legal compliance in areas including intellectual property, public sector, subsidiary management, treasury, records management, anti-bribery and corruption, and legacy environmental remediation.
  • Collaborate with senior management and other departments to support strategic initiatives.
  • Advise on legal risks and opportunities related to business operations.
  • Develop and implement policies and procedures to ensure global legal and regulatory compliance.
  • Serve as a member of the legal leadership team.

Requirements

  • Juris Doctor (JD) or equivalent degree from an accredited law school.
  • Active admission to practice law in at least one jurisdiction.
  • Minimum of 12 years of legal experience, including substantial in-house experience at a large, multinational company.
  • Proven experience managing cross-border mergers, acquisitions, dispositions, and other strategic transactions.
  • Strong understanding of U.S. and international corporate governance.
  • Expertise in corporate legal compliance, including intellectual property, public sector, subsidiary management, treasury, records management, anti-bribery and corruption, and sanctions compliance.
  • Extensive experience working with Boards of Directors.
  • Demonstrated success leading and developing teams of attorneys, compliance professionals, and other legal staff.
  • Ability to interpret complex or evolving legal and regulatory requirements and provide concise, business-focused advice.
  • Excellent judgment, communication, relationship-building, and problem-solving skills.

Preferred Qualifications

  • Experience in the human capital management technology industry.
  • Previous senior legal role within an S&P 500 company.
  • Experience supporting legal compliance in a technology or SaaS-driven environment.
  • Demonstrated ability to lead legal initiatives related to transformational transactions.
  • Familiarity with multi-jurisdictional compliance and managing overlapping requirements.
  • Experience managing a team of global legal professionals.
