Overview
A leading real estate investment organization is seeking a Vice President, Corporate Securities Legal Counsel to join their in-house legal team. This role reports to the Senior Vice President, Associate General Counsel, & Assistant Secretary and provides autonomous legal support for corporate functions, including securities compliance, governance, and sustainability reporting.
Responsibilities
Corporate and Securities Matters
- Assist with U.S. Securities and Exchange Commission (SEC) reporting and listing requirements, including oversight of Section 16 filings and the annual meeting process.
- Manage legal and compliance review of the company’s website, social media campaigns, press releases, and other disclosures.
- Monitor regulatory developments affecting SEC filings and NYSE listing requirements.
- Support Board and governance matters, including preparation of materials, special projects, and research.
- Oversee U.S. corporate secretary functions, including entity management and coordination with corporate paralegal.
- Assist with KYC, due diligence, and related requests.
- Collaborate with Corporate Finance on capital market activities such as hedging and derivative transactions.
- Support corporate initiatives and transactions including mergers, acquisitions, and joint ventures.
- Maintain and develop desktop procedures, templates, checklists, and documents for the legal department.
- Identify and implement process improvements and technology solutions to enhance legal department efficiency.
Sustainability Reporting
- Lead legal and compliance review and assist in preparation and filing of domestic and international sustainability regulatory filings and disclosures.
- Collaborate independently with internal and external teams on sustainability disclosures.
- Monitor regulatory changes impacting global sustainability filings.
Leadership
- Work independently and provide direction to corporate paralegal(s), fostering a professional and efficient work environment.
- Communicate and collaborate effectively with legal and other internal teams.
- Develop, oversee, and monitor applicable budgets.
Requirements
- Juris Doctorate (JD) from an accredited U.S. law school with strong academic credentials.
- Active membership in good standing with the State Bar of the state of employment.
- Minimum of 10 years of relevant legal experience, including corporate, securities, strategic corporate transactions, and capital market activity.
- Preferred: At least 7 years of experience in U.S. public company reporting, corporate contracting, and entity formation at a large U.S. law firm within corporate and securities practice.
- Preferred: Experience with U.S. and/or international sustainability reporting, including voluntary and regulatory filings.
Compensation & Benefits
- Base salary range: $198,878 - $244,246 - $304,889 annually.

Location
- This is a remote position for candidates outside San Diego.
- For San Diego-based candidates, the role is located at the headquarters in Del Mar Heights.
- In-office work is expected Monday through Thursday for collaboration, with remote work available on Fridays.
