Overview

This role offers a unique opportunity to establish and lead the legal function at a high-growth, category-defining healthcare technology company. As the first in-house legal hire, you will act as a strategic partner to the executive team, shaping operational, growth, and risk management strategies. You will oversee commercial contracts, healthcare compliance, corporate governance, employment matters, and help build the legal and ethical foundation of the organization.

Responsibilities

  • Lead negotiation and management of complex enterprise agreements, including Master Service Agreements (MSAs), Business Associate Agreements (BAAs), Data Processing Agreements (DPAs), and security addenda with large health systems and pharmacy organizations.
  • Develop scalable contract templates to support a fast-moving go-to-market team.
  • Navigate procurement processes at large institutions while maintaining deal velocity.
  • Provide advice on deal structure, risk allocation, and escalation procedures.
  • Serve as the legal expert on healthcare regulatory compliance, including HIPAA, data privacy, and related regulations.
  • Advise on the impact of legal and regulatory requirements on the platform, customer relationships, and contracting.
  • Collaborate with Security, Compliance, Product, and Engineering teams to ensure adherence to applicable compliance standards.
  • Monitor evolving healthcare regulatory landscapes to identify and mitigate legal and regulatory risks.
  • Provide counsel on liability issues, breach response, reporting obligations, and regulatory inquiries.
  • Manage corporate governance and board-related legal matters.
  • Support fundraising activities, including coordination with outside counsel on financing, capitalization tables, and investor agreements.
  • Maintain entity-level legal hygiene and corporate records.
  • Partner with People/HR on employment agreements, offer letters, equity, and policy matters.
  • Advise on hiring, performance management, and separation processes to foster a legally sound employee experience.

Requirements

  • 8-12 years of legal experience, combining top-tier law firm training with in-house experience at a high-growth technology company.
  • Expertise in healthcare compliance, including familiarity with HIPAA, privacy laws, and the regulatory environment of health systems.
  • Proven success negotiating complex enterprise contracts with large, sophisticated counterparties.
  • Experience navigating institutional procurement processes within health systems or similarly complex organizations is highly desirable.
  • Background supporting venture-backed companies through financing rounds, board governance, and corporate legal matters.
  • Ability to operate independently as the sole legal counsel, providing pragmatic, clear, and actionable guidance.
  • Strong business judgment and comfort working under uncertainty.
  • Collaborative and low-ego approach that builds trust across teams.

Location
