Overview
An organization is seeking an Assistant General Counsel to lead corporate governance and transactional matters while providing practical advice on labor & employment and litigation issues. This role supports compliance with relevant laws and regulations and involves working closely with senior leadership to manage corporate governance, entity matters, and legal processes in a fast-paced environment. The position offers the opportunity to work as a corporate generalist with meaningful responsibility across a range of legal areas.
Responsibilities
- Serve as a trusted adviser on corporate legal matters, reporting directly to the General Counsel & Corporate Secretary.
- Lead and support corporate governance activities, including preparation of Board and Committee meeting materials, maintenance of corporate records, and entity management for North American and India entities.
- Manage corporate records, organizational documents, approvals, resolutions, subsidiary records, and governance materials.
- Advise on corporate financing, debt-related reporting, transaction documentation, and corporate approvals.
- Support and lead corporate transactions such as mergers and acquisitions, financings, liquidity events, and other strategic transactions from structuring through post-closing integration.
- Lead and support complex commercial transactions with strategic partners, including negotiation, drafting, execution, and relationship management.
- Support management of ESG-related legal and disclosure matters and assist in developing the ESG program.
- Draft, negotiate, and interpret NDAs, letters of intent, and other corporate agreements.
- Support subsidiary management of corporate affiliates.
- Provide practical advice on labor & employment and litigation matters; manage internal legal workstreams and oversee outside counsel as appropriate.
- Manage the insurance portfolio, including renewals, coverage analysis, claims support, and engagement with brokers and insurers.
- Coordinate with outside counsel on corporate, transactional, labor & employment, litigation, and other legal matters.
- Support the General Counsel & Corporate Secretary on risk management, corporate development, and strategic initiatives.
- Provide legal support for ad-hoc projects from various departments including Treasury and Accounting.
- Willingness to travel quarterly (up to 20% annually).
Required Qualifications
- Juris Doctor (J.D.) degree.
- Admission to and good standing in any U.S. state bar.
- Minimum of 7 years of legal experience, including substantial experience in corporate governance and transactions.
- Experience in law firm, in-house legal department, or both preferred.
- Excellent analytical, interpersonal, and presentation skills.
- Effective communication skills at all business levels, including senior management.
- Ability to adapt to a variety of legal questions and concerns.
- High integrity, collaborative team player with a low ego.
- Self-motivated, well organized, able to work independently.
- Ability to manage and prioritize multiple requests and improve complex business and legal processes under deadlines.
- Excellent academic credentials.
Preferred Qualifications
- Experience working in or advising private equity-backed companies.
- Prior in-house corporate legal department experience.
- Experience supporting or leading mergers and acquisitions, financings, and other strategic transactions.
- Experience advising on labor & employment matters and overseeing litigation, including outside counsel management.
- Exposure to intellectual property, marketing and advertising, or related technology matters.
- Experience with technology transactions, SaaS businesses, or SaaS product delivery.
- Executive compensation experience.
Compensation & Benefits
- Estimated salary range: $150,000 - $214,000 annually.
- Actual salary will vary based on qualifications, skills, and proficiency.

Location
- The role involves managing entities in North America and India.
