Overview
This role is an exciting growth opportunity for an Assistant General Counsel, Corporate, supporting the corporate legal team and reporting to the Vice President, Associate General Counsel, Corporate. The position will provide legal counsel and support on financing, mergers and acquisitions, securities, NYSE, corporate governance, investor relations, and related matters.
Responsibilities
- Participate extensively in strategic transactions, including mergers, acquisitions, divestitures, and reorganizations of business entities and units, covering due diligence, preparation of nondisclosure and purchase and other transaction agreements, managing the closing process, and obtaining regulatory approvals.
- Provide legal support on corporate finance, including revolving credit agreements, indentures, note offerings, and rating agency matters.
- Assist with preparation of SEC filings, including registration statements, Forms 10-K, 10-Q, 8-K and SD, proxy statements, and Section 16 reporting.
- Advise on compliance with securities-related regulatory matters, including NYSE-listing standards, SEC regulations, Sarbanes-Oxley Act, Dodd-Frank Act, and stock plan matters.
- Support corporate governance, including preparation of board and committee materials and Delaware corporate law compliance.
- Manage subsidiary corporate governance, including preparation of board meetings and maintenance of corporate qualifications and subsidiary database.
- Work closely with finance, internal audit, corporate development, and investor relations to ensure compliance with disclosure policies and procedures.
- Lead and/or supervise relevant staff and outside counsel.
- Perform advanced legal research and other research as needed.
Requirements
- 5+ years of experience with a law firm and/or corporation with substantial M&A, joint ventures, and corporate finance experience.
- Familiarity with public company accounting, tax, and finance is a plus.
- Law degree from an accredited law school.
- Member in good standing of Virginia or other state bar with ability to qualify for Virginia corporate counsel license requirements.
- DOE-Q security clearance or ability to obtain within one year of hire.
- Some travel required.

Compensation & Benefits
- Pay: $200,000 - $271,000
- Base salary range in Virginia (US-VA) at the start of employment is expected to be between $200,000 and $271,000 per year.
- Base salary offered may vary based on local job market factors and factors specific to the selected candidate, such as job-related knowledge, skills, and experience.
- Total compensation may also include other elements, including an annual cash incentive, plus a full range of medical, retirement, and/or other benefits (details provided upon offer).
