Overview

The organization is seeking an Assistant General Counsel responsible for highly complex, difficult, and novel professional legal work as a generalist attorney with substantial healthcare experience. This role provides broad-based legal advice on healthcare-related matters, including federal and state Medicaid and Medicare law, and supports a wide range of corporate and commercial matters. Work will be performed with a high degree of independence.

Responsibilities

  • Monitor and advise on healthcare requirements with a substantial focus on federal and state Medicare and Medicaid statutes, regulations, policy developments, and litigation impacting client engagements.
  • Provide legal analysis of relevant healthcare-related case law and policies, including potential impacts on client programs, policies, and operational strategy.
  • Assist with identifying related risks and support relationships with external legal counsel on healthcare-related finance and policy issues.
  • Provide broad-based legal counsel across practice areas, including corporate governance, compliance, and other general business matters.
  • Identify legal risk and provide practical, business-oriented advice to management and internal stakeholders.
  • Advise on and represent the organization in contract negotiations for state/local government and commercial contracting.
  • Examine, prepare, review, and edit contracts, procurement documents, proposals, and other legal documents from clients, subcontractors, consultants, and vendors, including drafting BAAs and Data Use Agreements and similar documents.
  • Assist with all phases of Mergers & Acquisitions (M&A) activities, including due diligence, deal documents, outside counsel management, and integration.
  • Support marketing activities by reviewing external materials for legal compliance and accuracy.
  • Assist other functional areas with internal projects, risk mitigation strategy, and oversight/management of outside counsel engagements for general business or administrative matters.

Requirements

  • Juris Doctor from an ABA accredited institution.
  • Admission in good standing in at least one U.S. jurisdiction is required.
  • Admission in good standing (or ability to obtain admission as corporate counsel within one (1) year to the Pennsylvania Bar) is required.
  • 5 to 7 years of professional legal experience, including broad generalist experience across corporate and commercial matters, with substantial experience in healthcare-related legal matters (e.g., Medicaid, Medicare, managed care, or provider/health system work). A combination of in-house or government and firm experience preferred.
  • Broad generalist legal experience across corporate and commercial matters.
  • Knowledge of common law and state and federal laws relevant to the organization’s business, including Medicare and Medicaid.
  • Working knowledge of M&A preferred.
  • Knowledge of the principles, methods, materials, and practices of legal research.
  • Ability to conduct legal research; interpret, analyze, and organize facts, evidence, and precedents; and present material clearly and logically.
  • Ability to interpret and draft contracts and other legal instruments.
  • Ability to establish and maintain effective working relationships.
  • Ability to communicate effectively.
  • Familiarity with contract management systems and compliance tools preferred.

Compensation & Benefits

  • Anticipated salary range: $130,000/year (lowest geographic market range) to $160,000/year (highest geographic market range).
  • Final pay depends on factors including type and years of experience, type of years and experience within the industry, education, and market location.
  • Typically, candidates are not hired near the top of the range.
  • Eligible to participate in an annual Corporate Incentive Plan (CIP), ranging up to 15% of annual salary.
