Overview
An organization specializing in AI infrastructure is seeking an Assistant General Counsel focused on Infrastructure & Compute. This role is critical to managing the legal strategy and execution related to the company's compute and infrastructure supply chain, which supports AI inference services.
Responsibilities
- Lead negotiations and manage agreements for GPU compute, cloud capacity, and infrastructure services across a multi-provider environment.
- Handle colocation, power, datacenter, and network contracting, including operational and resilience terms to maintain production uptime.
- Analyze concentration risk and long-lead dependencies in the vendor portfolio; collaborate with Finance and Security teams to optimize contract terms and compliance.
- Manage legal aspects of strategic infrastructure and hardware relationships, including multi-role counterparties.
- Apply export and trade-control provisions in compute and hardware agreements under established policy frameworks.
- Develop template libraries, SLA-credit playbooks, and intake workflows to enable Procurement and Infrastructure teams to handle standard transactions efficiently.
- Support related transactions involving financing and procurement of compute and capacity.
- Assist with partnership and strategic relationship initiatives related to key projects.
- Participate in M&A, vendor integration, and other strategic transactions, including diligence on infrastructure agreements and supply continuity.
- Collaborate with the broader legal team on customer and sales deals, escalating novel terms that may impact availability or operational flexibility.
Requirements
- Juris Doctor (JD) degree and active bar membership in good standing.
- Minimum 8 years of technology transactions experience, with significant buy-side exposure to compute, cloud, hardware supply chain, datacenter, colocation, or critical infrastructure contracting.
- Deep understanding of availability and SLA constructs, capacity and route diversity, and the interplay of compute, colocation, power, and network terms.
- Experience managing high-volume, template-driven vendor contracting with a focus on speed and risk control.
- Strong judgment to identify vendor terms that pose risks to availability, cost, or operational flexibility and to manage outside counsel accordingly.
- Ability to communicate complex infrastructure concepts clearly and collaborate effectively with Engineering, Infrastructure, and Finance teams.
- Capacity to learn and utilize AI tooling and systems to operate efficiently in a fast-paced environment.
- Ambition to become a recognized thought leader in the field.
Preferred Qualifications
- In-house experience at a cloud provider, neocloud, hyperscaler, datacenter operator, or hardware/semiconductor company.
- Direct experience with GPU/hardware supply agreements, bare-metal procurement, or large compute capacity commitments.
- Familiarity with hyperscaler strategic agreements and competitive supplier dynamics.
- Experience with M&A integration and managing inherited vendor continuity.
- Background in AI, machine learning, or developer infrastructure companies.

- Competitive salary range of $225,000 to $275,000.

Location
Remote position with a preference for candidates in the San Francisco area.
