Overview
An organization operating performing arts schools and businesses is seeking an experienced corporate lawyer for the role of Assistant General Counsel. This full-time, remote position is focused on mergers and acquisitions (M&A) and providing broad legal support across business units. Preference is given to candidates located in the Eastern or Central time zones.
Responsibilities
- Lead end-to-end M&A and strategic transactions, including NDAs, letters of intent, due diligence, definitive agreements, closings, and integration support
- Advise executives and business units on operational, regulatory, compliance, and other legal matters
- Draft, review, and negotiate various corporate and commercial agreements
- Balance legal risks with business objectives to facilitate informed decision-making
- Develop scalable legal infrastructure such as templates, playbooks, and decision frameworks to support growth while maintaining risk discipline
- Manage outside counsel to ensure efficient and high-quality outcomes
- Drive and execute cross-functional and cross-business initiatives
Requirements
- Juris Doctor (J.D.) degree from an accredited law school
- Active membership in a U.S. state bar
- Minimum of 8 years of legal experience with a strong focus on M&A and commercial contracts
- Strong business judgment with an entrepreneurial and strategic mindset
- Excellent communication and relationship-building skills with the ability to influence internal and external partners
- Highly organized, detail-oriented, and able to prioritize effectively in a fast-paced environment
- Executive presence and confidence when advising senior leadership
- Adaptable, curious, and motivated to grow within a scaling organization
- Ability to translate complex legal and regulatory issues into clear, actionable guidance
- High integrity, discretion, and strong ethical standards
Preferred Qualifications
- Interest or experience in performing arts or performing arts education
- Experience with small and medium business (SMB) acquisitions and roll-up strategies
- Familiarity with multi-site business operations
- Knowledge of commercial retail leasing
- Exposure to employment law matters
Compensation & Benefits
- Annual base salary range: $170,000 to $200,000, determined by work location, skills, experience, and education
