Overview

A financial services organization is seeking a Director, Assistant General Counsel to join their Legal Department. This role reports to the Associate General Counsel and focuses on providing legal advice and guidance on commercial, contractual, and regulatory matters, particularly related to individual retirement accounts (IRAs). The position serves as the subject matter expert for the company's self-directed IRA and fund custody product lines.

Responsibilities

  • Provide day-to-day legal support for self-directed IRA and fund custody product lines, emphasizing custody of alternative assets.
  • Advise on new product offerings, enhancements, operational changes, and resolve accountholder issues.
  • Structure, draft, and negotiate contracts including custody agreements, API, licensing and subscription agreements, business development and strategic alliance arrangements, and data protection agreements.
  • Counsel business clients on contractual and regulatory risks related to new customer offerings or services.
  • Provide legal advice on ERISA, IRS and DOL regulations, money transmitter and electronic payment laws, and other specialized legal areas.
  • Offer legal guidance on corporate, commercial, and regulatory matters, including risk allocation for strategic initiatives.
  • Participate in negotiation teams with customers, partners, and suppliers regarding contracts and business transactions.
  • Monitor and communicate legal trends, industry standards, and best practices affecting retirement and wealth business.
  • Develop a thorough understanding of the organization’s markets, customers, and competitors to inform legal strategies.
  • Build and maintain working relationships across all organizational levels to encourage proactive use of in-house counsel.
  • Perform other duties as assigned.

Requirements

Education & Experience

  • Juris Doctorate degree required.
  • 6-10 years of experience in commercial transactions, with experience in IRAs; experience with self-directed IRAs and alternative assets is highly preferred.

  • Working knowledge of financial services, consumer-directed benefits industries, and relevant regulatory regimes.
  • Ability to collaborate effectively at all organizational levels.
  • Excellent communication and presentation skills.
  • Strong time and case management skills; ability to manage multiple legal areas in a fast-paced environment.
  • Commitment to professionalism and high integrity.

Other Requirements

  • Infrequent travel (less than 10%).
  • Ability to provide personal transportation occasionally.
  • Ability to work prolonged periods at a desk and on a computer.

Compensation & Benefits

  • Salary range: $195,000 - $225,000 per year, varying based on location, skills, and experience.
  • Compensation package may include incentive and bonus opportunities.

Location & Work Arrangement

  • Remote work is available in select states: AL, AZ, FL, GA, IA, IL, IN, MI, MN, MO, NC, NE, PA, SC, TN, TX, UT, VA, and WV. Remote status and role locations are subject to change.
  • Employees within a 90-minute radius of the Oak Brook, IL headquarters are required to work in-office at least 4 days per month from 10 am to 2 pm, including one Monday or Friday.
  • This in-office requirement does not apply to support specialist positions.
  • Relocation assistance is not provided.
