Overview

This role is for an Assistant General Counsel, Transactions (mid-level project finance attorney) supporting the organization’s investment and financing activity. You will serve as the day-to-day transactional legal lead across tax equity, preferred equity, transferable tax credit transactions, and debt facilities, as well as the organization’s corporate-level financings and strategic transactions.

You will report to the General Counsel, working closely with the Associate General Counsel and the Managing Director, Investments.

Responsibilities

  • Execute investment transactions by leading the legal workstream on:

    • Tax equity structures (including partnership flip, T-flip, and hybrid structures)
    • Preferred equity transactions
    • Transferable tax credit transactions
    • Drafting and negotiating key deal documents and closing deliverables (including term sheets, LLC agreements, equity capital contribution agreements, tax credit transfer and forward purchase agreements, guaranties)
    • Driving checklists, timelines, and closing
  • Support debt financings alongside investment activity and on the organization’s own facilities, including:

    • Construction, bridge, back-leverage, and warehouse financings
    • Negotiating and reviewing credit agreements, intercreditor and forbearance arrangements, borrowing base and draw mechanics, and lender consents
  • Lead legal diligence and issue-spotting by reviewing and assessing matters such as:

    • Offtake, EPC and supply, interconnection, real estate, and permits
    • Tax credit qualification items (including beginning of construction, prevailing wage and apprenticeship, domestic content, energy community, and recapture)
    • Insurance and sponsor/counterparty matters
    • Distilling risks and mitigants for investment committee materials
  • Own post-closing legal workstreams by managing funding conditions, amendments, consents, waivers, and reporting obligations across the portfolio with Portfolio Management

  • Manage outside counsel efficiently by:

    • Determining what is handled in-house versus by outside counsel
    • Scoping and supervising outside counsel
    • Keeping fees proportional to the transaction
  • Support corporate-level matters as needed, including:

    • Corporate financings and strategic transactions and joint ventures
    • Entity formation and maintenance
    • Corporate governance, regulatory matters
    • Intellectual property
    • Commercial agreements
  • Standardize documents and processes by maintaining and improving forms, playbooks, checklists, and closing sets, and identifying deal-process inefficiencies

  • Develop and apply AI tools in collaboration with legal innovation, operations, product, and engineering teams for diligence review, document drafting and comparison, and closing workflows—then apply them on live transactions and refine them over time

  • Partner with the business by participating in deal discussions across Investments, Coverage, Debt Advisory, and Portfolio Management; translating legal issues into commercial terms; identifying regulatory considerations where transactions involve broker-dealer and investment adviser affiliates; and escalating to the General Counsel and Compliance as appropriate

Requirements

  • 3–6 years of transactional experience, with a significant portion in the projects, energy, or infrastructure finance practice of a leading law firm
  • Hands-on experience with:
    • Tax equity
    • Transferable tax credit transactions
    • Debt financings for renewable energy and infrastructure projects
  • Ability to draft from a term sheet, negotiate a full document set, and drive to closing with limited supervision
  • Federal energy tax credit framework working fluency, including Sections 45, 48, 45Y, 48E, 45X, and 6418, covering qualification, bonus adders, and recapture risk, plus the judgment to know when to bring in tax counsel
  • Practical experience using AI in legal practice (demonstrated experience preferred over general openness), including:
    • Adoption or building of tools and workflows
    • Ability to describe concretely what worked and what did not
    • Interest in redesigning how transactions are done (not only speeding them up)
  • Ownership and judgment to make pragmatic, risk-weighted calls informed by business needs and know when to escalate
  • Clear communication with lawyers and non-lawyers, in writing and in real time, including explaining complex structures plainly and working effectively with counterparty counsel
  • Comfort with pace and ambiguity, including managing several transactions at once and building processes where none exist
  • JD and admission in good standing to the bar of at least one U.S. state (New York or DC preferred), with eligibility for in-house registration where required

Preferred Qualifications

  • In-house experience at a developer, investor, or lender (plus, not required)
