Overview
An established chemical and advanced materials organization is seeking an Assistant General Counsel – Transactions to lead its transactional legal practice across the Americas. This fully remote role offers the opportunity to work at the intersection of strategy, operations, and innovation, supporting mergers and acquisitions, EPC projects, and complex commercial agreements within a global manufacturing enterprise.
Responsibilities
- Lead the full lifecycle of mergers, acquisitions, divestitures, and joint ventures from letters of intent through post-closing integration.
- Advise senior leadership in the Americas and Japan on cross-border and enterprise-level transactions.
- Support engineering, procurement, and construction (EPC) projects, facility expansions, site exits, and real estate transactions across manufacturing and warehousing sites.
- Draft, review, and negotiate a wide range of commercial agreements including supply, distribution, procurement, services, manufacturing, tolling, licensing, and technology agreements.
- Partner with business leaders to structure deals, allocate risk, and enable commercial objectives.
- Identify and manage legal and compliance risks, including export controls, antitrust, anti-corruption, trade compliance, and corporate governance matters.
- Prepare board and shareholder approval materials ensuring alignment with internal controls and delegations of authority.
- Develop and improve contract templates, playbooks, and negotiation standards.
- Oversee contracting processes to enhance efficiency and scalability.
- Manage outside counsel and mentor direct reports within the legal team.
Requirements
- Juris Doctor (J.D.) degree from an accredited law school.
- Active U.S. bar license.
- 7 to 12+ years of transactional legal experience.
- Strong background in contract drafting and negotiation; experience in M&A and/or EPC projects preferred.
- In-house legal experience strongly preferred; law firm experience also considered.
- Ability to communicate clearly and pragmatically with non-legal stakeholders, including global partners.
- Comfortable advising executive leadership and managing multiple complex workstreams.
Preferred Qualifications
- Experience in manufacturing, industrial, chemical, life sciences, or advanced materials industries.
- Exposure to cross-border transactions or Japanese business practices.
- Knowledge of antitrust, intellectual property, export controls, environmental law, or government contracting.
Compensation & Benefits
- Salary range: $200,000 to $226,000, subject to geographic adjustment based on work location.
- Compensation influenced by role scope, candidate experience, education, skills, internal equity, and market factors.
- Fully remote position with minimal travel (approximately 10% or less).
