Job Summary

Reporting to the Deputy Chief Compliance and Legal Officer (DCCLO), the Compliance Counsel provides legal and strategic guidance on healthcare compliance, federal contracting ethics, and government enforcement matters. This role supports the corporate compliance program by partnering closely with Compliance, Program Integrity, and Internal Audit functions to ensure adherence to legal, regulatory, and compliance requirements. The Compliance Counsel serves as the primary legal advisor to the Compliance Committee.

The position operates under general supervision with significant latitude for independent legal judgment, formulating legal recommendations within established regulatory frameworks. Escalation to the DCCLO occurs for matters affecting compliance program strategy, significant enforcement exposure, or cross-functional policy decisions.

The role involves high complexity due to the regulated healthcare and federal contracting environment and requires translating complex regulatory requirements (including HIPAA, FCA, AKS, OIG, FAR ethics, and federal ethics statutes) into practical operational guidance. The ideal candidate has experience in healthcare compliance, federal contracting, or government ethics and enforcement, has led internal investigations, and advises on ethics and compliance matters as a trusted counselor and business partner.

Regular interaction occurs with senior leadership, attorneys, compliance and audit teams, business unit leaders, and external parties such as outside counsel, OIG personnel, federal regulators, and DoD/VA contracting officials.

Key Responsibilities

  • Provide legal advice on ethics and compliance matters, including Code of Conduct interpretation, conflicts of interest, gifts and gratuities, outside activities, and regulatory obligations.
  • Advise on, conduct, and oversee internal investigations into reported ethics and compliance violations; prepare legal findings memoranda; advise on corrective actions, disciplinary processes, and disclosure obligations.
  • Serve as legal counsel to the Compliance Committee by drafting agendas, preparing materials, advising on governance, and documenting actions.
  • Draft, review, and maintain compliance policies, procedures, and the Code of Conduct to ensure legal sufficiency and regulatory alignment.
  • Design, develop, and implement legal aspects of compliance and ethics training and staff resources, including content for new leaders and senior officials.
  • Counsel senior officials and new leaders on compliance obligations, ethics standards, and legal requirements.
  • Advise senior officials and business leaders on compliance risks and risk mitigation strategies.
  • Analyze self-disclosure obligations under federal law, including OIG protocols and DoD/VA contract reporting; coordinate regulatory submissions as appropriate.
  • Advise fraud prevention and Program Integrity programs on compliance and ethics issues; assist in developing monitoring, audit, and remediation plans.
  • Monitor and analyze OIG enforcement activity, HHS guidance, and other federal regulatory developments; assess impact and provide legal risk assessments and advisories.
  • Manage conflict-of-interest review and remediation processes, including legal analysis of recusal, divestiture, and waiver questions.
  • Partner with the Chief Compliance & Legal Officer (CCLO) and DCCLO to develop, implement, and enhance compliance policies, procedures, and controls.
  • Maintain regular and reliable attendance.
