Overview
An established retail real estate organization is seeking an Associate Counsel II – Real Estate to support its mission of creating engaging shopping destinations. This role involves working independently and collaboratively within a flexible, team-oriented environment.
Responsibilities
Real Estate Transactions (75%)
- Draft and negotiate complex real estate transaction documents.
- Provide legal and strategic support during deal formation and LOI negotiations.
- Communicate project progress to senior management.
- Review Purchase and Sale Agreements, due diligence materials, title objections, surveys, environmental reviews, and closing documents.
- Support legal aspects of closings and post-closing administration.
- Review and negotiate agreements with developers, including conditions for draw disbursement and payments.
- Assist with title policy and ALTA survey reviews.
- Support zoning compliance, re-zoning applications, and construction permit acquisition.
- Prepare or revise legal documents based on departmental needs and negotiate terms with counterparties.
- Ensure executed documents reflect negotiated terms and obtain necessary approvals.
- Assist senior counsel with acquisition and disposition documentation, including notices and estoppels.
Leasing (25%)
- Review and prepare lease documents based on requests and prior negotiated language.
- Verify inconsistencies and obtain required approvals.
- Review tenant comments and negotiate lease terms balancing tenant and company interests.
- Obtain internal approvals for negotiated lease terms.
- Review executed lease documents and manage execution process.
- Assist with due diligence tasks such as estoppels, exclusive/prohibited use reviews, and lease abstracts.

Requirements
- Juris Doctor (J.D.) degree from an accredited law school.
- Licensed to practice law in at least one state.
- 5 to 7 years of experience handling commercial real estate transactions, including drafting and negotiating retail leases and ancillary documents.
Compensation & Benefits
- Hiring salary range: $99,000 - $150,000 per year (dependent on location, experience, and performance).

- Strong preference for candidates located in Greensboro, North Carolina or surrounding areas.
