Overview

A fast-growing SaaS organization serving the life sciences industry is seeking a detail-oriented Associate Counsel to support buy-side contracts within a dynamic legal team. This role involves reviewing and negotiating complex technology and vendor contracts, assisting with legal operations, and contributing to the development of contract management processes and tools.

Responsibilities

  • Review, redline, and negotiate a variety of vendor contracts including technology agreements, leases, design and construction services agreements, copyright licenses, non-disclosure agreements, consulting and services agreements, media and advertising agreements, and event venue agreements.
  • Provide legal support and advice to internal business partners in a decentralized procurement environment.
  • Maintain and update a vendor contract database and assist with legal operations functions.
  • Develop and improve contract processes, templates, playbooks, and self-service contract tools.
  • Respond to contract review requests and consult with internal stakeholders to clarify contract requirements.
  • Document contract metadata to facilitate contract management.
  • Use electronic signing platforms to manage contract execution.
  • Collaborate with finance and other internal teams on contract-related matters.
  • Perform other ad hoc legal assignments as needed.

Requirements

  • Juris Doctor degree from an accredited law school and membership in good standing with a relevant state bar or professional organization.
  • Minimum of 2 years transactional experience reviewing, redlining, and negotiating agreements.
  • Experience in-house at a technology company, law firm, life sciences, or similarly fast-paced environment.
  • Strong knowledge of technology agreements, domestic privacy laws including GDPR, commercial leases, and construction agreements.
  • Excellent written and verbal communication skills with the ability to draft clear, concise, and accurate legal documents and correspondence.
  • Proficiency with MS Word (including document editing, redlining, and comparison functions), Adobe, and G-Suite tools.
  • Strong attention to detail and ability to provide high-quality customer service.
  • Positive attitude, agility, and humility in handling diverse tasks.

Preferred Qualifications

  • Experience with international transactions and agreements.
  • Completion of continuing legal education (CLE) focused on contract drafting, privacy law, or AI-related contracting and risk governance.
  • Familiarity with help desk intake/management tools such as Freshservice.
  • Experience with B2B advertising contracts, hotel and venue agreements, and financial services agreements (audit/tax).

Compensation & Benefits

  • Base salary range: $90,000 - $120,000 (actual salary may vary based on experience and location).
  • Potential eligibility for additional compensation such as variable bonuses and stock bonuses.
