Overview

An organization is seeking an Associate General Counsel & Director of Contracts to provide legal services ensuring maximum protection of its legal rights. This role offers strategic guidance, consultation, and support to various internal stakeholders. It is a fully remote position available to candidates located anywhere in the Eastern and Central Time Zones of the United States.

Responsibilities

  • Manage a team focused on contract management and review, leading various corporate legal initiatives.
  • Serve as a generalist handling a wide variety of legal needs from multiple departments and external sources.
  • Negotiate complex contracts and amendments with potential and existing clients domestically and internationally, including Requests for Proposals, new contract initiation and negotiation, contract amendments and extensions, data protection agreements, and data privacy/security documents.
  • Interface directly with key departments such as Finance, Client Services, Program Services, Information Security, Relationship Management, Technical Operations, and Sales to resolve contract issues.
  • Identify contractual provisions impacting departments and communicate internally to resolve issues through approved channels.
  • Initiate and implement approved contract negotiation and drafting processes and checklists in line with company procedures and risk guidelines.
  • Negotiate professionally and effectively with clients and other external contract authorities.
  • Draft, review, revise, maintain, update, and negotiate a wide variety of contracts including client service agreements, vendor and service provider agreements, website terms of use, product-specific agreements, data protection agreements, and business relationship agreements.
  • Support business teams in addressing legal issues, including contract review, analysis, and strategic response.
  • Utilize AI-powered contract review, redlining, and drafting tools to increase efficiency, flag risk provisions, and accelerate turnaround time, while applying independent legal judgment to validate and finalize AI-assisted output.
  • Research, analyze, and monitor applicable laws and engage with internal stakeholders to ensure compliance.
  • Promote legal and compliance best practices throughout the organization.
  • Stay current with legislative changes affecting the business.
  • Work cross-functionally to support various compliance initiatives.

Requirements

  • J.D. degree from an American Bar Association accredited law school.
  • Membership in good standing of a State bar.
  • At least 5 years of experience in an in-house counsel department or corporate law firm.
  • Excellent negotiating and drafting skills.
  • Familiarity with or willingness to learn AI-powered contract review, redlining, and contract lifecycle management (CLM) tools, with sound judgment to critically evaluate AI-generated contract analysis.
  • Ability to comprehend complex legal matters and identify applicable laws.
  • Understanding of global data protection laws and practices.
  • Exceptional organization and time management skills.
  • Keen eye for detail and strong research abilities.
  • Persuasive internal and external communication skills to build trust and broaden client base.
  • Strong analytical skills related to contracts and legal applications to business products and practices.
  • Ability to communicate complex legal issues and risks in terms understandable to non-legal colleagues.
