Overview

An organization in the energy sector is seeking an Associate General Counsel to provide legal expertise at the intersection of law, business, and energy. This role involves advising on complex legal matters related to corporate, commercial, and regulatory issues within highly regulated industries, including nuclear and clean energy. The position offers flexibility to work remotely or from the Oak Ridge, Tennessee location.

Responsibilities

  • Provide legal advice and support on corporate, commercial, and regulatory matters.
  • Draft and negotiate a variety of contracts including federal, commercial, domestic, and international agreements.
  • Guide compliance with sanctions, export controls, and anti-bribery laws.
  • Advise on corporate structuring and governance.
  • Support securities law filings, financial agreements, and other obligations of a public company.
  • Collaborate with business leaders to balance legal risk with strategic goals.
  • Manage outside counsel relationships.
  • Anticipate and navigate complex legal challenges in the nuclear and clean energy industries.

Requirements

  • Juris Doctor (J.D.) degree from an accredited U.S. law school.
  • Admission and good standing in at least one U.S. jurisdiction.
  • Minimum of 5 years of experience as a practicing lawyer.
  • Experience advising on federal government and commercial contracts, with knowledge of FAR, DFARS, and DEAR.
  • Excellent written and verbal communication skills.
  • Ability to work effectively across all organizational levels.
  • Flexibility to learn and advise on a broad range of legal issues including securities, nuclear regulatory, international trade, labor/employment, and intellectual property.

Preferred Qualifications

  • Experience managing legal affairs for a business unit, division, or company.
  • Expertise in securities law, including 10-K/10-Q reporting, proxy statements, insider trading, governance, and Regulation FD.
  • Experience with ESG reporting, project finance, or transactional due diligence.
  • Background in government agencies such as NRC, SEC, DOE, or experience at a top-tier law firm.
  • Ability to work independently in a high-stakes, fast-paced environment.
  • Proficiency with Microsoft Office Suite.

Compensation & Benefits

  • Estimated starting base salary range: $200,000 - $220,000.
  • Bonus eligible.
