Overview

A rapidly growing AI company headquartered in San Francisco is seeking an Associate General Counsel, Commercial to join their legal team. This fully remote role is open to candidates across the USA and involves supporting the global commercial organization as a senior legal leader and strategic business partner.

Responsibilities

  • Lead complex commercial transactions including enterprise SaaS agreements, API and developer platform agreements, technology licensing, strategic partnerships, channel partnerships, and procurement.
  • Structure and negotiate commercial arrangements related to API access, developer platforms, AI infrastructure, model licensing, usage-based pricing, and emerging AI products.
  • Negotiate with strategic customers and partners, balancing legal risk with business objectives.
  • Advise executive leadership on revenue generation, commercial growth, international expansion, go-to-market models, pricing strategies, and new business initiatives.
  • Provide practical legal guidance on complex issues in the evolving AI landscape.
  • Counsel cross-functional leaders on legal matters related to AI, enterprise software, data, intellectual property, digital media, advertising technology, and emerging regulations.
  • Support corporate initiatives such as strategic partnerships, new product launches, and market expansion.
  • Proactively identify legal risks and opportunities.
  • Advise Product, Engineering, and Go-To-Market teams on legal considerations for API products, developer ecosystems, AI model access, platform integrations, and commercialization strategies.
  • Design and improve scalable commercial contracting processes to handle high transaction volumes without compromising quality.
  • Develop negotiation playbooks, approval frameworks, contract templates, fallback positions, and internal guidance.
  • Collaborate with Operations and Enterprise Systems to optimize contract lifecycle management and legal workflows.
  • Help establish long-term structure, processes, and best practices for the commercial legal function.
  • Mentor and guide junior legal professionals.
  • Work closely with Sales, Partnerships, Product, Security, Privacy, Finance, and Operations teams to facilitate efficient decision-making.
  • Translate complex legal issues into practical business recommendations.
  • Support special projects and strategic initiatives in a fast-paced environment.
  • Stay informed on legal and regulatory developments affecting AI, enterprise software, privacy, digital media, content generation, consumer protection, and related technologies.

Requirements

  • J.D. from an accredited law school and active membership in at least one U.S. state bar.
  • Minimum 10 years of legal experience with significant expertise in sophisticated commercial transactions for high-growth technology companies.
  • Experience combining top-tier law firm and in-house roles is strongly preferred.
  • Proven track record as a strategic legal advisor to executive leadership and senior business stakeholders.
  • Deep knowledge negotiating enterprise SaaS agreements, API and developer platform agreements, technology licensing, strategic partnerships, and other complex commercial contracts.
  • Experience supporting AI, cloud infrastructure, APIs, developer platforms, or other highly technical software products is strongly preferred.
  • Strong understanding of legal issues related to AI, software, data, intellectual property, privacy, and emerging technologies.
  • Exceptional business judgment with the ability to provide practical, risk-balanced advice in ambiguous situations.
  • Demonstrated ability to build scalable legal processes and improve operational efficiency in rapidly growing commercial organizations.
  • Experience mentoring attorneys or legal professionals and building high-performing legal teams.
  • Excellent drafting, negotiation, communication, and stakeholder management skills.
  • Highly collaborative, low ego, execution-oriented, and comfortable working independently in a fast-paced, high-growth environment with evolving priorities.
  • Ability and willingness to travel approximately once per quarter, including two annual trips to San Francisco and two annual trips to Kazakhstan.

Compensation & Benefits

  • Competitive base salary range: $260,000 – $310,000, depending on experience, skills, scope, and location.

Location

  • This is a fully remote position based in the United States.
  • Occasional business travel required for team meetings, planning sessions, company events, and in-person collaboration in San Francisco and Kazakhstan.
