Overview
An organization is seeking an Associate General Counsel to provide legal support for the Finance team, capital markets, and securitization programs. This role reports to the Deputy General Counsel and focuses on ensuring the legal integrity of equity investments, asset-backed securities (ABS) transactions, SEC filings, and other capital-related activities.
Responsibilities
- Lead legal efforts on ABS transactions, debt and structured debt deals, and mergers and acquisitions (M&A) transactions
- Draft, review, and negotiate transaction documents, credit facilities, and third-party contracts with partner banks, service providers, and technology vendors
- Support IPO readiness projects, including developing processes to meet current and future SEC reporting obligations
- Manage outside counsel on Capital Markets and Finance matters to ensure timely, high-quality, and cost-effective legal advice
- Monitor legal and market developments that could impact the business and provide early warnings
- Assist with corporate governance tasks such as board and committee meeting preparation and corporate resolutions
Requirements
- Juris Doctor (JD) from an accredited law school
- Active membership in good standing in at least one U.S. state bar
- Minimum of 5 years of relevant law firm experience or 7 years of relevant in-house or combined legal experience
- Strong, hands-on experience drafting, reviewing, and negotiating complex corporate financing agreements
- Demonstrated experience supporting SEC reporting obligations (10-K, 10-Q, 8-K, proxy statements) with a strong working knowledge of current SEC rules and disclosure requirements
- Exceptional analytical, writing, and communication skills, including the ability to explain legal issues to non-lawyers
- Strong organizational and project management skills with the ability to prioritize and work independently without daily supervision
- High standard of integrity, humility, and sound judgment
- Ability to work remotely with periodic travel required for team gatherings and business needs
Preferred Qualifications
- Experience in structured finance beyond ABS, such as warehouse lending facilities, whole loan sales, or forward flow arrangements
- Familiarity with consumer financial products and related regulations
- In-house experience at a late-stage private company, including exposure to investor relations or pre-IPO readiness work
Compensation & Benefits
- Annual full-time starting base salary range: $178,000 - $225,000
- Eligibility for additional compensation through annual incentive and equity programs
