Overview

This full-time Associate General Counsel role is for a remote position in the USA.

The organization is seeking an exceptional corporate lawyer to join its legal team and own corporate legal matters for a company operating in the frontier of voice AI. The role reports directly to the General Counsel and will lead corporate governance, financing and M&A transactions, IPO readiness, corporate governance, and international structure.

Responsibilities

  • Direct corporate governance by building habits and systems that enable clear, confident decision-making.
  • Drive the legal roadmap for IPO readiness, including compliance frameworks, future SEC reporting structures, and internal governance policies required for public companies.
  • Prepare for, structure, and execute financings that support company ambitions.
  • Lead M&A legal work from conversation through integration to expand what the company can build.
  • Partner with Finance and People on employee equity, including compensation programs, cap table, and secondaries.
  • Design the legal and business processes required to scale globally with international subsidiaries.
  • Track worldwide regulatory developments impacting corporate structure and governance, and translate them into positions the organization can act on.
  • Build AI-native corporate practice workflows and systems that scale the team’s impact.
  • Handle the full breadth of legal issues associated with being a fast-growing startup.

Requirements

  • JD from a U.S. accredited law school.
  • 7–15 years of experience in legal practice (or more), in-house, at a firm, or both.
  • Demonstrated strength working with private, venture-backed companies on a high-growth trajectory, including IPO readiness.
  • Fluency in IPO readiness, financings, M&A, governance, Board matters, employee equity, and international structures.
  • Depth of experience in at least some of the listed areas, with willingness to learn the rest.
  • Comfort operating in “grey areas” of law while providing clear, actionable advice.
  • Exceptional writing—precise, plain, and compelling.

Preferred Qualifications

  • In-house experience taking a company public, including knowledge of what good looks like and how to build legal infrastructure that accelerates the roadmap.
  • Hands-on experience with corporate and legal issues in the AI space.
