Overview

A bitcoin-focused organization is seeking a Securities Lawyer to join its in-house legal team at the parent company level. Reporting directly to the General Counsel, this role is the second member of a growing legal function and offers significant ownership opportunities.

Responsibilities

Securities & Public Company Matters

  • Prepare, review, and manage SEC filings including 8-K, 10-Q, 10-K, proxy statements, Section 16 filings, and registration statements
  • Advise on disclosure obligations, Regulation FD, and securities law compliance for public communications such as press releases and investor materials
  • Support capital markets transactions and financing activities
  • Ensure compliance with Nasdaq listing rules, including corporate governance and disclosure requirements
  • Administer insider trading policies, including trading windows, preclearance, and 10b5-1 plans
  • Advise on equity compensation and stock plan matters, including plan maintenance and related filings
  • Support board and committee governance and other corporate governance matters
  • Monitor SEC and Nasdaq rulemaking and advise on impacts, especially related to bitcoin treasury operations

Compliance Officer Function

  • Serve as the designated Compliance Officer responsible for maintaining, monitoring, and enforcing enterprise-wide policies such as code of conduct, insider trading, clawback, disclosure and Reg FD, related person transactions, FCPA/anti-corruption, AI, social media, and open door policies
  • Review and refresh existing policies and establish a formal compliance program including policy governance, training, and monitoring within the first year
  • Maintain current policies, monitor adherence, coordinate investigations with HR and General Counsel, deliver training, and act as primary contact for policy questions

Requirements

  • J.D. degree and active bar membership in good standing
  • Minimum 5 years of securities/capital markets experience at a leading law firm, the SEC, or in-house at a public company
  • Hands-on experience with '34 Act reporting (8-Ks, 10-Qs, 10-Ks) and registration statements; proxy statement and capital markets transaction experience is a plus
  • Strong knowledge of the Securities Act, Exchange Act, SEC rules, and Nasdaq listing requirements
  • Excellent judgment and organizational skills to build and manage a compliance program (prior compliance program experience not required)
  • Interest in bitcoin and digital assets; prior exposure to bitcoin treasury or crypto-related companies is a plus but not required
  • Strong drafting skills, meticulous attention to detail, and ability to independently manage recurring deadlines
  • Ability to advise senior executives with discretion and maturity on sensitive matters

Compensation & Benefits

  • Total compensation targeted between $225,000 and $275,000 annually
  • Base salary range: $175,000 to $200,000
  • Annual performance bonus target: $25,000
  • Annual equity (RSU) grant target: $25,000 to $50,000
  • Placement within compensation ranges depends on experience and location
