Overview

A leading natural gas producer in the United States is seeking an Attorney/Senior Attorney specializing in Corporate & Securities law to join their legal team. This role supports a broad range of corporate governance, securities compliance, and transactional matters within a fast-paced public company environment. The position offers the opportunity to contribute meaningfully as part of a high-performing in-house legal team.

Responsibilities

  • Provide legal support on corporate, governance, and securities matters in coordination with senior legal team members
  • Ensure securities law compliance, including preparation and review of Forms 10-K, 10-Q, 8-K, and related rules and filings
  • Manage Section 16 filings (Forms 3 and 4)
  • Support compliance with public company reporting and disclosure obligations, including NYSE compliance and share ledger management
  • Assist with treasury matters and subsidiary management
  • Support various aspects of the Corporate Secretary function
  • Assist with know-your-customer compliance processes
  • Provide transactional support for capital markets transactions, mergers and acquisitions, and venture investments
  • Limited business travel may be required

Required Qualifications

  • Minimum of 2 years of corporate transactional and securities law experience at a large law firm
  • Bachelor’s Degree and Juris Doctor (J.D.) from an accredited law school
  • Admission to practice law in at least one U.S. state
  • Exceptional interpersonal skills and strong academic credentials
  • Demonstrated team orientation with a desire to broaden knowledge through diverse tasks
  • Ability to manage multiple priorities effectively under pressure, demonstrating adaptability, multitasking, and strong time management
  • High initiative and strong attention to detail

Preferred Qualifications

  • Experience utilizing technology to monitor and manage workload
  • Familiarity with federal securities laws, regulations, and interpretations
  • Exposure to the energy or natural resources industry is a plus

Location

Remote work is considered for this role except for candidates residing in California, Connecticut, Delaware, Illinois, Indiana, Louisiana, Massachusetts, Michigan, New Jersey, New York, and Tennessee unless willing to relocate.
