Overview

A global law firm is seeking a Client Contracts Attorney to join the Conflicts & Business Review Department within the General Counsel’s Office. This role involves supporting the management of client contracts through review, negotiation, and coordination activities.

Responsibilities

  • Review outside counsel guidelines, client-drafted engagement terms, non-disclosure agreements (NDAs), Business Associate Agreements, terms related to Requests for Proposals (RFPs), third-party engagement terms, and other non-standard client contracts.
  • Advise on the firm’s ability to comply with client agreements.
  • Draft and revise exceptions to client engagement terms and contracts as needed.
  • Communicate with firm partners regarding identified issues and negotiate directly with clients when instructed.
  • Manage contract version control and finalization, including completing redline comparisons.
  • Oversee completion of client due diligence requests.
  • Draft internal memoranda summarizing relevant provisions of approved client guidelines.
  • Coordinate posting of approved and pending client guidelines on the firm’s intranet and filing of executed client contracts.
  • Collaborate closely with the Associate Director of Client Contracts and a team of Client Contracts Attorneys.
  • Perform other duties or projects as assigned by the Associate Director of Client Contracts or Director of Conflicts & New Business Intake.

Qualifications

  • Juris Doctorate (J.D.) degree.
  • Minimum of three years of experience in contract review and negotiations.
  • Knowledge of privacy and data protection laws preferred.
  • Active law license in the candidate’s jurisdiction.
  • Proficiency with Microsoft Office suite, including Word track changes, Planner, Lists, and document comparison tools (e.g., Litera Compare).
  • Experience with generative AI tools (e.g., Copilot, Harvey) preferred but not required.
  • Excellent oral and written communication skills.
  • Exceptional attention to detail and accuracy.
  • Demonstrated sound judgment and responsiveness.
  • Ability to manage workflow proactively and adapt to changing priorities.
  • Capacity to maintain a fast pace, meet deadlines, and handle a heavy workload.

Compensation & Benefits

  • Full-time annual salary range: $145,000 - $160,000 (locations include New York, Washington, DC, Chicago, Denver, Sacramento, Los Angeles, San Francisco, Silicon Valley).
  • Salary offers depend on relevant experience, internal equity, market data, job location, and other job-related factors.

Location

  • Remote work option available, subject to location approval.
  • Occasional travel to the Atlanta office may be required.
