Overview
A healthcare technology organization is seeking a Commercial Counsel to provide legal support across commercial operations. This role can be performed remotely or from the headquarters in Des Moines, IA. The position involves contract drafting and negotiation, compliance review, risk mitigation, and advising internal teams on various legal matters related to telehealth and digital health services.
Responsibilities
- Draft, review, and negotiate a variety of commercial agreements including Master Service Agreements (MSAs), Software as a Service (SaaS) agreements, Business Associate Agreements (BAAs), Non-Disclosure Agreements (NDAs), and vendor contracts.
- Collaborate with Sales and Business Development teams to support deal structuring, proposal reviews, and client onboarding.
- Provide legal counsel on telehealth regulatory issues, data privacy, and healthcare compliance affecting commercial activities.
- Develop and improve contract templates, playbooks, and internal processes to enhance efficiency and scalability.
- Advise internal stakeholders on legal risks and offer practical, business-oriented solutions.
- Work cross-functionally with Compliance, Finance, Product, and Operations teams to align legal strategy with organizational goals.
- Manage and track contract lifecycle workflows to ensure timely execution and accuracy.
- Perform other duties as assigned.
Requirements
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
- 3 to 6+ years of experience in commercial contracting, preferably within healthcare, telehealth, SaaS, or high-growth startup environments.
- Strong knowledge of contract law, data privacy regulations (HIPAA preferred), and regulatory frameworks relevant to digital health.
- Excellent negotiation, drafting, and communication skills with the ability to simplify complex legal issues.
- Detail-oriented and organized with the ability to manage multiple priorities in a fast-paced setting.
- Collaborative and business-minded with a proactive approach to problem-solving.

- Experience working in telehealth or healthcare technology sectors.
- Familiarity with regulatory compliance in digital health.
