Overview
A growing legal team is seeking a Commercial Counsel to manage commercial contracting, sales execution, and strategic partnerships. This role involves serving as a trusted advisor to the sales team and providing legal guidance on operations, sales, partner contracts, and vendor agreements. The position offers an opportunity to apply legal expertise across a global organization while gaining valuable business experience. This is a remote position with some travel required.
Responsibilities
- Draft, review, and negotiate new contracts, renewals, terminations, and amendments across various contract types.
- Advise business units on contractual interpretation, rights, and dispute resolution.
- Develop and maintain template contract documents to ensure consistent application of best practices and compliance, focusing on insurance, service level agreements, and subcontractor use.
- Collaborate directly with sales and business teams to provide day-to-day legal advice, resolve issues in commercial relationships, and respond to inquiries.
- Identify legal risks, develop mitigation strategies, and counsel internal clients accordingly.
Requirements
- Juris Doctor degree from an accredited law school.
- Membership in good standing with any U.S. state bar.
- 5 to 10 years of experience drafting and negotiating commercial contracts.
- At least 5 years of experience with software and/or technology contract negotiation.
- Extensive experience with data licensing, software-as-a-service (SaaS), and professional services contracts preferred.
- Experience with data privacy matters, including data processing agreements, is strongly preferred.
- Strong written and oral communication skills with attention to detail.
- Team-oriented, quick learner, and able to work effectively in a fast-paced environment.
- Self-motivated with excellent interpersonal skills and ability to communicate complex legal concepts to all management levels.
- Ability to work independently and contribute to cross-functional teams.
- Customer-focused with excellent business judgment and ability to manage multiple clients.
Compensation & Benefits
- Salary range: $183,900 to $342,100 (local currency).
- Comprehensive benefits package including medical, dental, vision, life and long-term disability insurance, health savings account (HSA), and 401(k) retirement plan.
Location
