Overview
A leading provider of test and measurement technologies for the semiconductor industry is seeking a Commercial Contracts Counsel to join their legal team. This role involves supporting the review, drafting, and negotiation of a broad range of commercial agreements while collaborating with various business units including sales, procurement, supply chain, finance, IT, and engineering.
Responsibilities
- Draft, review, and negotiate diverse commercial agreements such as master supply agreements, sales contracts, purchase orders, statements of work, vendor/supplier agreements, equipment procurement contracts, software licenses, NDAs, and services agreements
- Provide guidance on contract terms, risk allocation, and negotiation strategies in partnership with sales, procurement, and business teams
- Support maintenance and continuous improvement of contract templates, playbooks, standard terms, and contract management systems (e.g., Ironclad) to enhance consistency and efficiency
- Escalate complex, high-risk, or non-standard contract issues to senior legal leadership
- Monitor legal and regulatory developments impacting commercial contracting in the semiconductor industry, including export controls, trade compliance, and IP licensing
- Collaborate with finance, compliance, and other internal stakeholders on contract-related matters
Requirements
- Juris Doctor (J.D.) degree from an ABA-accredited law school
- Active membership in good standing with at least one U.S. state bar
- 3 to 5 years of relevant legal experience in commercial transactions, contract drafting/negotiation, or technology transactions
- Strong contract drafting skills with attention to detail and ability to manage a high volume of contracts simultaneously
- Excellent judgment balancing legal risk with business objectives
- Ability to work independently, prioritize effectively, and communicate clearly with non-legal stakeholders
Preferred Qualifications
- 1 to 2 years of experience at a large law firm (Am Law 50 or equivalent) with a transactional or technology transactions practice
- Experience in the semiconductor, electronics, or advanced technology manufacturing industry
- Familiarity with semiconductor-specific contract structures, including IP licensing and equipment/materials supply and purchase agreements
- Experience with contract management systems such as Ironclad

Education & Experience
- Minimum of 5 years of related experience with a Bachelor’s degree; or 3 years with a Master’s degree; or a PhD without experience; or equivalent work experience
Compensation & Benefits
- Salary range: $155,800.00 to $204,435.00 per year, depending on experience, skills, and background
