Overview

The organization is seeking an experienced Commercial Counsel to join its US commercial team. This role supports complex commercial transactions across North America, including SaaS, licensing, and strategic partnerships, while helping the organization navigate legal and regulatory frameworks in the rapidly evolving field of artificial intelligence. You will work closely with global colleagues to provide practical, business-oriented legal guidance that enables growth while managing risk across multiple jurisdictions.

Responsibilities

  • Draft, review, and negotiate commercial agreements, with a primary focus on GTM/Sales transactions in North America, including enterprise customer contracts
  • Partner with sales, business development, and operations teams to design and implement strategies that support high-growth go-to-market initiatives
  • Monitor and interpret evolving legal and regulatory developments, including data protection, technology, and AI-related frameworks, and apply that knowledge to contract drafting and risk assessment
  • Develop, maintain, and localize contract templates, playbooks, and policies to reflect regional requirements and industry best practices
  • Provide clear, pragmatic, and commercially focused legal advice to cross-functional teams, tailoring advice to enable responsible growth and innovation
  • Contribute to scaling the Legal Team’s commercial function, fostering a collaborative, solutions-oriented team culture

Requirements

  • J.D. and active membership in at least one U.S. State Bar (NY or CA preferred)
  • 6+ years of relevant post-qualification legal experience (in-house experience in technology or SaaS strongly preferred)
  • Proven track record drafting and negotiating complex commercial and technology agreements
  • Strong knowledge of enterprise software licensing, SaaS, data protection, and intellectual property
  • Experience advising on privacy, cybersecurity, and cross-border data transfer issues
  • Excellent communication, stakeholder management, and problem-solving skills
  • Comfort working in fast-paced environments with shifting priorities and tight deadlines
  • Ability to work independently while collaborating effectively with cross-functional and global colleagues

  • Prior experience with heavily regulated industries
  • Strong interest in emerging technologies and the future of AI

Location

Remote, executed in the United States, with a preference for New York or San Francisco, where the organization has offices and significant presence.
