Overview

This role is for an experienced Commercial Counsel to join a US-based commercial legal team. The position supports complex commercial transactions across North America, including SaaS, licensing, and strategic partnerships, while advising on legal and regulatory frameworks relevant to artificial intelligence.

Responsibilities

  • Draft, review, and negotiate commercial agreements, with a primary focus on GTM/Sales transactions in North America, including enterprise customer contracts
  • Partner with sales, business development, and operations teams to design and implement strategies that support high-growth go-to-market initiatives
  • Monitor and interpret evolving legal and regulatory developments (including data protection, technology, and AI-related frameworks) and apply this knowledge to contract drafting and risk assessment
  • Develop, maintain, and localize contract templates, playbooks, and policies to reflect regional requirements and industry best practices
  • Provide clear, pragmatic, and commercially focused legal advice tailored to enable responsible growth and innovation
  • Contribute to scaling the legal team’s commercial function and support a collaborative, solutions-oriented team culture

Requirements

  • J.D. and active membership in at least one U.S. State Bar (NY or CA preferred)
  • 6+ years of relevant post-qualification legal experience (in-house experience in technology or SaaS strongly preferred)
  • Proven experience drafting and negotiating complex commercial and technology agreements
  • Strong knowledge of enterprise software licensing, SaaS, data protection, and intellectual property
  • Experience advising on privacy, cybersecurity, and cross-border data transfer issues
  • Excellent communication, stakeholder management, and problem-solving skills
  • Ability to work independently while collaborating effectively with cross-functional and global colleagues
  • Comfort operating in fast-paced environments with shifting priorities and tight deadlines

  • Prior experience with heavily regulated industries

Location

Remote, executed in the United States, with a preference for New York or San Francisco.
