Overview
This role involves building and supporting an early-stage commercial law practice in Arizona in anticipation of regulatory approval to operate as an Alternative Business Structure (ABS).
Following ABS approval and commencement of Arizona legal-services operations, responsibilities will shift to direct client work across a broad range of corporate and commercial matters.
This is a fully remote role and you may be based anywhere in Arizona.
Responsibilities
Following ABS approval
- Draft and review commercial contracts
- Manage commercial and corporate matters for startups and small businesses
- Support trademark application filings
- Work on services, consulting, and vendor agreements
- Draft and review SaaS and technology agreements
- Prepare and review NDAs, licensing, and intellectual property agreements
- Handle company formation and general corporate work
- Support shareholder and corporate governance matters
- Prepare startup fundraising and investment documents
- Draft website terms and other online business agreements
- Advise on privacy and data protection
- Prepare employment and independent contractor agreements
- Provide general commercial advice to startups and small businesses
Role scope and client interaction
- Work is transactional and advisory in nature (no litigation or disputes).
- You will manage your own projects and clients, with support from a Compliance Attorney when needed.
- You should be comfortable handling standard matters independently and know when to raise more complex or unfamiliar issues with the team.
- Any client-facing legal-services responsibilities will commence only after the required regulatory approval has been granted.
Prior to ABS approval
- The role will be limited to permitted preparatory, operational, and other non-client legal-services activities in preparation for launch.
Requirements
- Arizona-qualified lawyer
- Active member in good standing of the State Bar of Arizona
- Authorized to practice law in Arizona
- Based in Arizona (you can live anywhere in the state)
- Valid authorization to work in the United States
- Around 2–4 years of corporate and commercial experience
Preferred Qualifications
- Experience working with startups, emerging companies, or small businesses
- Experience in technology, intellectual property, fundraising, privacy, or employment
- Familiarity with private practice, in-house roles, or a combination of both
Compensation & Benefits
- $90,000–$110,000 USD base salary, depending on experience
