Overview
A boutique, full-service business law firm is seeking an experienced Corporate Attorney to join its rapidly growing business and commercial team. This role offers the opportunity to work with a diverse client base across industries including general corporate, real estate, construction, health care, IT, and employment matters. Clients range from individuals and closely held businesses to private investment firms, large institutions, national franchises, and publicly traded companies.
The ideal candidate will have a proven track record in negotiating complex business contracts and advising clients on corporate structuring, governance, business operations, and compliance. Experience drafting, analyzing, and negotiating partnership and shareholder agreements, master service agreements (MSAs), vendor contracts, non-disclosure agreements (NDAs), employment contracts, and other general business agreements is essential. Candidates should be detail-oriented, possess a strong work ethic, and desire autonomy with significant client and matter responsibility.
Responsibilities
- Lead the review, negotiation, and drafting of complex, high-value commercial contracts
- Identify, assess, and proactively mitigate legal and business risks
- Provide strategic legal advice to clients and attorneys across the firm
- Develop and maintain contract standards, templates, and best practices
- Oversee and mentor junior attorneys or legal staff involved in contract review
- Manage escalations related to contract disputes, interpretations, or breaches
- Ensure compliance with applicable laws and regulations relevant to client businesses
- Support client business initiatives by balancing legal risk with commercial objectives
Required Qualifications
- Juris Doctor (JD) from an accredited law school
- Active license to practice law
- Minimum of 5 years of experience in contract law, commercial law, or in-house legal roles
- Extensive experience negotiating complex commercial agreements
- Demonstrated ability to provide strategic, business-focused legal advice to private clients

Compensation & Benefits
- Expected total compensation: $125,000 - $175,000 (dependent on experience, full/part-time status, and billables)
