Overview

A global technology company is seeking an experienced Contract Commercial Attorney to support its Americas team on a full-time contract basis. This role involves negotiating and executing complex technology, software, cloud, and enterprise licensing agreements while collaborating closely with legal, sales, deal desk, and business stakeholders across North and South America. The position is a 6-month contract with potential extension to 12 months, fully remote within the U.S. with flexible working hours across U.S. time zones.

Responsibilities

  • Negotiate technology, software, cloud, and enterprise licensing agreements
  • Partner with sales, deal desk, legal, and business teams throughout the transaction lifecycle
  • Review, draft, and negotiate complex commercial agreements with customers across the Americas
  • Provide practical legal guidance balancing business objectives and legal risk
  • Manage a high volume of concurrent commercial transactions
  • Collaborate with internal stakeholders and external customer counsel
  • Assess contractual risk and recommend commercially sound solutions
  • Support negotiations involving multiple stakeholders across various customer segments
  • Communicate effectively with cross-functional teams in a matrixed organization
  • Maintain responsiveness in a fast-paced, customer-focused environment

Qualifications

  • Several years of legal experience handling complex commercial transactions
  • Experience negotiating technology, software, cloud, or enterprise licensing agreements
  • Strong commercial judgment and legal risk assessment skills
  • Excellent drafting, negotiation, and communication abilities
  • Ability to manage multiple matters simultaneously
  • Experience working closely with business, legal, and sales organizations
  • Knowledge of Microsoft licensing models or enterprise software licensing preferred
  • Spanish and/or Portuguese language proficiency highly desirable

Education & Experience

  • Juris Doctor (JD) degree required
  • Licensed to practice law in the United States
  • Several years of law firm and/or in-house transactional experience
  • Experience supporting technology transactions, mergers and acquisitions, business development, or other sophisticated commercial agreements
