Overview
A financial services technology organization specializing in complex M&A and loan agency transactions is seeking a Contract Review Attorney. The role involves reviewing and analyzing primary transaction documents to ensure accurate entry of post-closing obligations and deal terms into a proprietary database. This position reports to the Senior Director of Contract Administration.
Responsibilities
- Review transaction documents such as merger, asset, or stock purchase agreements, escrow and paying agent agreements, allocation spreadsheets, and ancillary agreements to understand post-closing rights and obligations.
- Perform second-level review of data entered by first-level reviewers to ensure completeness and accuracy in the proprietary database.
- Verify accurate recording of standard deal points including deal size, party types, transaction type, purchase price adjustment processes, indemnification obligations and caps, and inclusion of covenants, representations, and warranties.
- Respond to deal-term and contract interpretation inquiries from internal teams and deal stakeholders.
- Follow up to obtain additional transaction documents as needed for accurate deal point recording.
- Assist the Compliance Team with overflow tasks.
- Execute special projects as assigned.
Requirements
- Juris Doctor degree from an accredited law school.
- Licensed attorney with a strong academic record.
- 2-5 years of M&A experience at a major law firm or in-house corporate law department.
- Advanced proficiency in Microsoft Office applications, especially Excel and Word.
- Ability to manage multiple tasks under tight deadlines.
- Strong ownership mentality with follow-through to resolution.

- Strong analytical and organizational skills.
- Commitment to maintaining confidentiality and integrity.
Preferred Qualifications
- Experience in M&A, Securities, Corporate, or Transactional law.
- Understanding of database management and/or statistics.
- Excellent verbal and written communication, facilitation, and interpersonal skills.
- Ability to work independently and manage workload remotely.
- Creative and efficient problem-solving skills for unexpected issues.
Physical Requirements and Work Environment
- Remote work setting with the ability to work irregular hours, including nights, weekends, or after hours as needed.
- Ability to travel up to 25% to the corporate office in Denver, Colorado.
- Comfortable working in a fast-paced environment.
- Proficient in operating standard office equipment such as phone, computer/laptop, mouse, keyboard, photocopier, scanner, and e-fax.
- Extensive computer use during regular workdays.
- Must be legally authorized to work in the United States without visa sponsorship.
Compensation and Benefits
- Salary range: $105,000 to $120,000 annually, depending on experience.

Location
This is a remote position with required travel to the Denver, Colorado office up to 25% of the time.
