Overview
A leading identity security organization is seeking a Contracts Advisor to join their contract operations function. This role involves managing global sales contracting, commercial negotiations, and contract compliance programs with a focus on complex software licensing, SaaS transactions, and professional services agreements.
Responsibilities
- Lead negotiations with enterprise end-users, strategic accounts, partners, and resellers to secure favorable business and legal terms aligned with commercial policies.
- Draft and customize complex commercial agreements including Software License Agreements, SaaS Cloud Agreements, Partner/Channel/Reseller Terms, Professional Services Statements of Work, NDAs, and custom addenda.
- Evaluate third-party contract templates and propose risk-mitigation language balancing commercial velocity and business risk.
- Advise Sales, Customer Success, Finance, and Security teams on contract terms, commercial structures, and compliance.
- Provide governance on revenue recognition matters (including ASC 606 compliance) during contract drafting and negotiation.
- Review and negotiate data privacy and security requirements such as GDPR, CCPA/CPRA, and sector-specific regulations.
- Maintain compliance protocols for government and public sector sales, including Federal Acquisition Regulations (FAR) where applicable.
- Coordinate and prioritize contract requests across regions to optimize workload management.
- Manage post-execution operations including filing, tagging, indexing agreements, updating Salesforce contract records, and facilitating delivery notices and handoffs.
- Lead cross-functional coordination to resolve complex customer issues, especially during Quarter-End and Year-End cycles.
- Mentor junior contracts team members and contribute to legal operations projects such as contract lifecycle management system enhancements.
Requirements
- Minimum 7+ years of experience negotiating and drafting commercial contracts within software companies, cloud service providers, or technology-focused legal departments.
- Bachelor’s degree in Business, Legal Studies, or related field.
- Master-level understanding of commercial contract law, SaaS frameworks, cloud licensing, and revenue recognition guidelines.
- Proven experience negotiating directly with C-level executives and legal counsel of Fortune 500 companies.
- Strong knowledge of data privacy laws and public sector contracting requirements (FAR/DFARS).
- Advanced proficiency in Microsoft Office Suite, especially Word Track Changes and formatting.
- Experience with Salesforce.com and advanced Contract Lifecycle Management (CLM) systems.
- Excellent organizational skills, attention to detail, and strong verbal and written communication.
Preferred Qualifications
- MBA, JD, or equivalent legal training.
- Professional contract management certification (e.g., World Commerce & Contracting / IACCM, CPD, ILEX, CIPFA).
Compensation & Benefits
- Estimated US-based base salary range: $92,300 - $155,524.
- Eligibility for corporate bonus plan or role-specific commission.
