Overview
A leading cybersecurity and identity-management software provider is seeking an experienced Contracts Manager or Contracts Attorney for a full-time, permanent, fully remote position. This role supports a business operating at the forefront of identity security, providing enterprise-grade security solutions that protect modern enterprises from evolving cyber threats.
Candidates may be paralegals or licensed attorneys.
Responsibilities
- Draft, review, and negotiate complex client and supplier agreements, including sell-side/outbound SaaS agreements, software licensing agreements, EULAs, support agreements, partner agreements, and vendor agreements.
- Represent the organization in external negotiations with a diverse set of customers.
- Manage the contract administration process from inception to completion.
- Analyze and review contract requirements, terms, and conditions for compliance with laws and regulations.
- Assist in contract compliance and issue resolution.
- Coordinate and collaborate with internal functional teams.
- Summarize complex contractual issues, develop creative solutions, and coordinate contractual risk mitigation.
- Serve as a liaison for contract lifecycle management and departmental coordination.
- Support and respond to Information Security Assessments and Questionnaires, ensuring contractual alignment with information security obligations.
- Perform other duties as assigned.
Requirements
- Minimum of 5 years' experience leading negotiation, drafting, and finalization of complex SaaS, software licensing, cloud services, and other commercial and vendor agreements.
- Proven track record managing high-value or strategically important contracts.
- Ability to work closely with internal teams such as sales, finance, product, and operations to create and maintain standardized templates, assist with equitable work distribution, and develop resources to streamline contract review and negotiation.
- Familiarity with data privacy, information security, and related compliance processes, with experience integrating these into contract negotiations and risk mitigation.
- Highly organized and process-oriented with a proactive approach to improving legal workflows and departmental efficiency.
- Excellent written and verbal communication skills, capable of explaining complex legal concepts clearly to both legal and non-legal stakeholders.
- Strong service mindset with the ability to work effectively in cross-functional teams, manage competing priorities, and deliver results in a fast-paced environment.
- Maintains high standards of integrity and professional judgment, with the ability to anticipate, identify, and communicate legal risks and issues to legal leadership promptly.
Preferred Qualifications
- Experience supporting Pacific Time zone operations is desired.
Compensation & Benefits
- Base salary range: $80,000 to $125,000+, depending on experience, qualifications, credentials, and location.
- Eligible for an annual performance-based bonus.
